DUTIES OF GFS. GFS’s duties with respect to Fund Accounting, Fund Administration and Transfer Agency services are detailed in Appendices I, II and III to this Agreement. (a) In order for GFS to perform the Services, the Trust (i) shall cause all service providers to the Funds of the Trust to furnish any and all information to GFS, and assist GFS as may be required and (ii) shall ensure that GFS has access to all records and documents maintained by the Trust or any service provider to the Trust or a Fund of the Trust. (b) GFS shall, for all purposes herein, be deemed to be an independent contractor and shall, unless otherwise expressly provided or authorized, have no authority to act for or represent the Trust in any way or otherwise be deemed an agent of the Trust. (c) Whenever, in the course of performing its duties under this Agreement, GFS determines, on the basis of information supplied to GFS by the Trust, that a violation of applicable law has occurred, or that, to its knowledge, a possible violation of applicable law may have occurred, or with the passage of time could occur, GFS shall promptly notify the Trust and its legal counsel of such violation.

(c) Whenever, in the course of performing its duties under this Agreement, GFS determines, on the basis of information supplied to GFS by the Trust, that a violation of applicable law has occurred, or that, to its knowledge, a possible violation of applicable law may have occurred, or with the passage of time could occur, GFS shall promptly notify the Trust Trust’s Chief Compliance Officer and its legal counsel of such violation.

(a) In order for GFS to perform the Services, the Trust Fund Family (i) shall cause instruct all service providers to the Funds of the Trust to furnish to GFS any and all information to requested by GFS, and assist GFS as may be required and required, and (ii) shall ensure that GFS has provide to GFS, or instruct service providers to provide to GFS, access to all records and documents maintained by the Trust or any service provider to the Trust Fund Family or a Fund of the Trust. (b) GFS shall, for all purposes herein, be deemed to be an independent contractor and shall, unless otherwise expressly provided or authorized, have no authority to act for or represent the Trust in any way or otherwise be deemed an agent of the Trust. (c) Whenever, in the course of performing its duties under this Agreement, GFS determines, on the basis of information supplied to GFS by the TrustFund Family, that a violation of applicable law has occurred, or that, to its knowledge, a possible violation of applicable law may have occurred, or with the passage of time could occur, GFS shall promptly notify the Trust Fund Family and its legal counsel administrator of such violation.

(c) Whenever, in the course of performing its duties under this Agreement, GFS determines, on the basis of information supplied to GFS by the TrustCompany, that a violation of applicable law has occurred, or that, to its knowledge, a possible violation of applicable law may have occurred, or with the passage of time could occur, GFS shall promptly notify the Trust Company and its legal counsel of such violation.

(b) GFS shall, for all purposes herein, be deemed to be an independent contractor and shall, ,unless otherwise expressly provided or authorized, have no authority to act for or represent the Trust Company in any way or otherwise be deemed an agent of the TrustCompany. (c) Whenever, in the course of performing its duties under this Agreement, GFS determines, on the basis of information supplied to GFS by the TrustCompany, that a violation of applicable law has occurred, or that, to its knowledge, a possible violation of applicable law may have occurred, or with the passage of time could occur, GFS shall promptly notify the Trust Company’s Chief Compliance Officer and its legal counsel of such violation.

(b) GFS shall, for all purposes herein, be deemed to be an independent contractor and shall, unless otherwise expressly provided or authorized, have no authority to act for or represent EII or the Trust in any way or otherwise be deemed an agent of EII or the Trust. (c) Whenever, in the course of performing its duties under this Agreement, GFS determines, on the basis of information supplied to GFS by EII or the Trust, that a violation of applicable law has occurred, or that, to its knowledge, a possible violation of applicable law may have occurred, or with the passage of time could occur, GFS shall promptly notify EII and the Trust Trust’s chief compliance officer and its legal counsel of such violation.

DUTIES OF GFS. GFS’s duties with respect to Fund Accounting, Fund Administration and Transfer Agency services are detailed in Appendices I, II and III to this Agreement. (a) In order for GFS to perform the Services, the Trust Fund (i) shall cause all service providers to the Funds of the Trust Fund to furnish any and all information to GFS, and assist GFS as may be required and and (ii) shall ensure that make available or grant GFS has access to all any records and documents maintained by the Trust or any service provider to the Trust or a Fund on behalf of the TrustFund as may be reasonably required. (b) GFS shall, for all purposes herein, be deemed to be an independent contractor and shall, unless otherwise expressly provided or authorized, have no authority to act for or represent the Trust Fund in any way or otherwise be deemed an agent of the TrustFund. (c) Whenever, in the course of performing its duties under this Agreement, GFS determines, on the basis of information supplied to GFS by the TrustFund, that a violation of applicable law has occurred, or that, to its knowledge, a possible violation of applicable law may have occurred, or with the passage of time could occur, GFS shall promptly notify the Trust Fund’s Chief Compliance Officer and its legal counsel of such violation.

DUTIES OF GFS. GFS’s 's duties with respect to Fund Accounting, Fund Administration and Transfer Agency services the Services are detailed in Appendices I, I and II and III to this Agreement. (a) In order for GFS to perform the Services, the Trust Fund Family (i) shall cause instruct all service providers to the Funds of the Trust to furnish to GFS any and all information to requested by GFS, and assist GFS as may be required and required, and (ii) shall ensure that GFS has provide to GFS, or instruct service providers to provide to GFS, access to all records and documents maintained by the Trust or any service provider to the Trust Fund Family or a Fund of the Trust. (b) GFS shall, for all purposes herein, be deemed to be an independent contractor and shall, unless otherwise expressly provided or authorized, have no authority to act for or represent the Trust in any way or otherwise be deemed an agent of the Trust. (c) Whenever, in the course of performing its duties under this Agreement, GFS determines, on the basis of information supplied to GFS by the TrustFund Family, that a violation of applicable law has occurred, or that, to its knowledge, a possible violation of applicable law may have occurred, or with the passage of time could occur, GFS shall promptly notify the Trust Fund Family and its legal counsel administrator of such violation.

(b) GFS shall, for all purposes herein, be deemed to be an independent contractor and shall, unless otherwise expressly provided or authorized, have no authority to act for or represent the Trust Corporation in any way or otherwise be deemed an agent of the TrustCorporation. (c) Whenever, in the course of performing its duties under this Agreement, GFS determines, on the basis of information supplied to GFS by the TrustCorporation, that a violation of applicable law has occurred, or that, to its knowledge, a possible violation of applicable law may have occurred, or with the passage of time could occur, GFS shall promptly notify the Trust Corporation and its legal counsel of such violation.
