Common use of Duties of the Adviser Clause in Contracts

Duties of the Adviser. The Adviser shall continue to have responsibility for all services to be provided to the Fund pursuant to the Advisory Agreement and shall supervise and oversee the Sub-Adviser’s performance of its duties under this Agreement. Notwithstanding the foregoing, in connection with its management of the Assets, nothing herein shall be construed to relieve the Sub-Adviser of responsibility for compliance with the Trust’s constituent documents, the Prospectus, the instructions and directions of the Board of Trustees of the Fund, the requirements of the 1940 Act, the Code, and all other applicable federal and state laws and regulations, as each is amended from time to time.

Duties of the Adviser. The Adviser shall continue to have responsibility for all services to be provided to the Fund pursuant to the Advisory Agreement and shall supervise and oversee the Sub-Adviser’s performance of its duties under this Agreement. Notwithstanding the foregoing; provided, however, that in connection with its management of the Assets, nothing herein shall be construed to relieve the Sub-Adviser of responsibility for compliance with the Trust’s constituent documentsOperating Documents set forth in Appendix B, the Prospectus, the instructions instruction and directions of the Board of Trustees of the FundTrust, the requirements of the 1940 Act, the Code, and all other applicable federal and state laws and regulations, as each is amended from time to time.

The Adviser shall continue to have responsibility for all services to be provided to the Fund Portfolio pursuant to the Advisory Agreement and shall supervise oversee and oversee review the Sub-Adviser’s 's performance of its duties under this Agreement. Notwithstanding the foregoing; provided, however, that in connection with its management of the Assets, nothing herein shall be construed to relieve the Sub-Adviser of responsibility for compliance with the Trust’s constituent documents, the 's Prospectus, the instructions and directions of the Board of Trustees of the FundTrust, and the requirements specific provisions of the 1940 Act, the CodeInternal Revenue Code of 1986, and all other applicable federal and state laws and regulations, as each is amended from time to timetime as are identified as the Sub-Adviser's responsibility in the Portfolio's Compliance Manual to be mutually agreed upon by the Adviser and the Sub-Adviser.

Notwithstanding the foregoing; provided, however, that in connection with its management of the Assets, nothing herein shall be construed to relieve the Sub-Adviser of responsibility for compliance with the Trust’s constituent documents, the Prospectus, the instructions and directions of the Board of Trustees of the Fund, the requirements of the 1940 Act, the Code, and all other applicable federal and state laws and regulations, as each is amended from time to time.

Duties of the Adviser. The Adviser shall continue to have responsibility for all services to be provided to the Fund Series pursuant to the Advisory Agreement and shall supervise oversee and oversee review the Sub-Adviser’s performance of its duties under this Agreement. Notwithstanding the foregoing; provided, however, that in connection with its management of the Assets, nothing herein shall be construed to relieve the Sub-Adviser of responsibility for compliance with the TrustFund’s constituent documentsLimited Partnership Agreement (as defined herein), the ProspectusPPM, the instructions and directions of the Board of Trustees of Adviser and the FundBoard, the requirements of the 1940 Act, the CodeCode (if applicable), and all other applicable federal and state laws and regulations, as each is amended from time to time.

Duties of the Adviser. The Adviser shall continue to have responsibility for all services to be provided to the Fund Funds pursuant to the Advisory Agreement and shall supervise oversee and oversee review the Sub-Adviser’s performance of its duties under this Agreement. Notwithstanding the foregoing; provided, however, that in connection with its management of the Assets, nothing herein shall be construed to relieve the Sub-Adviser of responsibility for compliance with the Trust’s constituent documentsDeclaration of Trust (as defined herein), the ProspectusTrust’s registration statement, the instructions and directions of the Board of Trustees of the FundBoard, the requirements of the 1940 Act, the Code, and all other applicable federal and state laws and regulations, as each is amended from time to time.

Duties of the Adviser. The Adviser shall continue to have responsibility for all services to be provided to the Fund Funds pursuant to the Advisory Agreement Agreements and shall supervise oversee and oversee review the Sub-AdviserSubadviser’s performance of its duties under this Interim Agreement. Notwithstanding the foregoing; provided, however, that in connection with its management of the Assets, nothing herein shall be construed to relieve the Sub-Adviser Subadviser of responsibility for compliance with the Trust’s constituent documentsDeclaration of Trust (as defined herein), the Prospectus, the instructions and directions of the Board of Trustees of the FundTrust, the requirements of the 1940 Act, the Code, and all other applicable federal and state laws and regulations, as each is amended from time to time.
