Duty and Responsibility. 8.1. Employees will do all the work required to the best of their ability, provided that the work is within the scope of their skills, competence and qualifications, in accordance with the position description provided to them at the commencement of their employment and such other duties as may reasonably be required of employees by the company, from time to time.
Duty and Responsibility. The Manager shall have such duty, responsibility, power and authority with respect to the business and affairs of the Company as set forth in Section 2.01 of this Agreement. The Manager shall regularly report to the Members as to the status and other business and affairs of the Company and the Project.

Operator acknowledges that it is a fiduciary under this Agreement, and as a fiduciary Operator shall discharge each of its duties, obligations and liabilities and exercise each of its powers and authority, including without limitation Operator’s duties, obligations, liabilities, powers and authority as Manager, with Due Care.
Duty and Responsibility. Employees will diligently and faithfully perform all the duties and responsibilities of their employment, provided such duties are within the limits of their skill; competence and training and such other duties as may reasonably be required by the Employer from time to time. The Employees undertake:
(a) to devote the whole of their working time and attention and use their best endeavours to further the development, reputation and business of the Employer;
(b) to observe all lawful directions, orders, instructions and policies (as varied from time to time) of the Employer; and
(c) not to be directly or indirectly involved or engaged in work for or provide services to any other Employer, business or individual, whether paid or otherwise, which may in any way conflict with the interests of the Employer, unless otherwise agreed in writing by the Employer.
