EAGLE'S SOLE REMAINING CONDITION. TTSD has waived the condition in Section 3(a) of the Agreement, and Eagle has waived the conditions in Sections 3(b)(i) and 3(b)(ii). Provided that the $190,000 is remitted to TTSD in accordance with Section 5 below, the August 29, 1997, date set forth in Section 3(b)(iii) of the Agreement is hereby extended to August 29, 1998.
