Early Termination by Mutual Agreement. If notwithstanding all reasonable efforts by the Parties, in the event that a disagreement between the Parties in respect of any of the matters described in Clauses 8.5 (c) and 8.5(e) and the matters listed in Schedule 1 to this Agreement results in a 'deadlock' situation in which Directors or Shareholders are divided on a decision or course of action such that a decision cannot be made with respect to such matter, and the matter cannot be resolved for a period of six consecutive months from the date of the first such deadlocked meeting, the Parties shall in any such case, reasonably and faithfully consult with each other regarding whether to continue the operation of Onyx Japan. If the Parties fail to agree to continue the operations of Onyx Japan for any reason within 90 calendar days after the commencement of such consultations, Onyx shall have the option to purchase Shares held by Prime at Fair Market Value by giving written notice to Prime. If Onyx does not choose to purchase the Shares held by Prime, Onyx shall choose to dissolve Onyx Japan.
