Common use of Early Termination Rights of Seller Clause in Contracts

Early Termination Rights of Seller. (a) Seller may terminate this agreement at any time upon Notice to Buyer, if: (i) the laws in effect, or adopted but not yet in effect, as of the execution of this agreement change in such a way as to require additional capital expenditures or make continued operation of the Project in the manner anticipated by Seller as of the execution of this agreement materially more expensive or burdensome; or (ii) the Department terminates or ceases funding one or both Cooperative Agreements. (b) If Seller terminates this agreement due to an event set forth in this section 15.1 neither Party will have any further liability to the other Party except for liabilities that have accrued prior to the Notice of termination.
