Common use of Effect of Agreement Date Clause in Contracts

Effect of Agreement Date. On the Agreement Date, the Credit Agreement and the other Loan Documents shall be deemed amended by this Agreement. The Parties hereto acknowledge and agree that (a) this Agreement and other Loan Documents, whether executed and delivered in connection herewith or otherwise, do not constitute a novation, payment or reborrowing, or termination of the Obligations under any Loan Documents as in effect prior to the Agreement Date and (b) such Obligations are in all respects continuing (as amended and restated hereby) with only the terms thereof being modified as provided in this Agreement. Each Loan Party hereby reaffirms its duties and obligations under each Loan Document to which it is a party including any lien granted therein (such reaffirmation is solely for the convenience of the parties hereto and is not required by the terms of the Credit Agreement). Each reference to the Credit Agreement in any Loan Document shall be deemed to be a reference to the Credit Agreement as amended and modified by this Agreement.
