Common use of Effect of Due Diligence Clause in Contracts

Effect of Due Diligence. No investigation by or on behalf of the Purchaser into the business, operations, prospects, assets or condition (financial or otherwise) of the Corporation and its Subsidiaries shall diminish in any way the effect of any representations or warranties made by the Vendor in this Agreement or shall relieve the Vendor of any of its obligations under this Agreement. No investigation by or on behalf of the Vendor into the business, operations, prospects, assets or condition (financial or otherwise) of the Purchaser shall diminish in any way the effect of any representations or warranties made by the Purchaser in this Agreement or shall relieve the Purchaser of any of its obligations under this Agreement.
