Effect of Notice Period on Termination by Both Parties. During the notice period as set forth in Section 8.3.1, the provisions for reimbursement of a party's development efforts in accordance with the then-current Budget continue in force and effect, unless the party faced with reduction agrees that it can displace employees to other activities in a shorter time. The parties agree that each party shall attempt to minimize costs during the notice period. During the notice period, the parties shall continue to perform their respective obligations under the WNV Development Program, unless otherwise agreed by the parties in writing. Upon the expiration of the notice period (and the effective date of termination under Section 8.2 or the effective date of withdrawal under Section 8.4 of the WNV Development Program), each party shall pay, promptly upon receipt of an invoice therefor, to the other party an amount equal to (i) all WNV Development Costs accrued to date in the terminated WNV Development Program for which an invoice has been rendered and (ii) all WNV Development Costs not yet invoiced but incurred in the terminated WNV Development Program, whether or not disputed, as set forth in the approved Budget.
