Effect of Termination of Agreement. (a) In the event this Agreement is terminated pursuant to the provisions hereof, Article XII, Sections 8.01, 10.02, 15.02, 15.04 and 15.16 and this Section 10.05 shall remain in effect after such termination, and all provisions relating to the allocation of responsibility for costs incurred by the Owner and/or the Company shall remain in effect with respect to acts occurring before such termination. (b) If the Owner terminates this Agreement and any or all of the other Transaction Agreements, the remedies for liquidated damages set forth in Section 10.02 shall not apply as to any mortgage loan that the Company continues to service.
