Effect of this Agreement on Prior Agreements and Method of Amendment. Except for the Development Agreement and the executory provisions of the Purchase Agreement, this Agreement supersedes all previous agreements or representations, either verbal or written, heretofore in effect between DEVELOPER and the CITY, made with respect to the matters herein contained, and when duly executed constitutes the entire Agreement between DEVELOPER and the CITY with respect to the subject matter hereof. No additions, alterations or variations of the terms of this Agreement shall be valid nor provisions of this Agreement be deemed waived be either party, unless such additions, alterations, variations or waivers are expressed in writing and duly signed by such party.
