Entire Agreement; Amendment of this Agreement. This Agreement constitutes the entire agreement between the parties with respect to the Funds. No provision of this Agreement may be changed, waived, discharged or terminated orally, but only by an instrument in writing signed by the party against which enforcement of the change, waiver, discharge or termination is sought.
Entire Agreement; Amendment of this Agreement. This Agreement contains the entire understanding between the parties hereto with respect to the subject matter hereof, and supersedes all prior and contemporaneous agreements and understandings, inducements or conditions, express or implied, oral or written, except as herein contained. The express terms hereof control and supersede any course of performance and/or usage of the trade inconsistent with any of the terms hereof. This Agreement may not be modified or amended other than by an agreement in writing. This Agreement may not be amended in a manner adverse to the interests of the related Certificate Insurers without the prior written consent of such related Certificate Insurers.
Entire Agreement; Amendment of this Agreement. The Plan and this Agreement constitute the entire agreement of the parties with respect to the subject matter hereof and supersede in their entirety all prior undertakings and agreements of the parties with respect to the subject matter hereof, and may not be modified adversely to a party without the affected party’s written consent. In the event of any conflict between the terms and provisions of the Plan and this Agreement, the Plan terms and provisions shall govern. Certain other important terms governing this Agreement are contained in the Plan.
Entire Agreement; Amendment of this Agreement. This instrument constitutes the entire Agreement between the Parties, and no representation, warranty, promise, inducement, or agreement (oral or otherwise) not set forth in this Agreement shall be binding on the Parties. This Agreement, upon the effective date of this Agreement and continuing thereafter, shall supersede all prior agreements, arrangements, and understandings between the Parties. This Agreement may not be modified or amended in any way except by a subsequent, written agreement between the Parties, signed by Xxxxxxxx and Xxxxx Xxxxxx, Chief People Officer, Red Xxxxx International, Inc. or her designee or assign.
