Effect of this First Amendment. Except as amended and/or modified by this First Amendment, the Purchase Agreement is hereby ratified and confirmed and all other terms of the Purchase Agreement are and shall remain in full force and effect, unaltered and unchanged by this First Amendment. In the event of any conflict between the provisions of this First Amendment and the provisions of the Purchase Agreement, the provisions of this First Amendment shall control. Whether or not specifically amended by this First Amendment, all of the terms and provisions of the Purchase Agreement are hereby amended to the extent necessary to give effect to the purpose and intent of this First Amendment.
Effect of this First Amendment. Except as amended by this First Amendment, the Original Agreement is hereby ratified and confirmed and all other terms of the Original Agreement shall remain full force and effect, unaltered and unchanged by this First Amendment. In the event of any conflict between the provisions of this First Amendment and the provisions of the Original Agreement, the provisions of this First Amendment shall prevail. Whether or not specifically amended by the provisions of this First Amendment, all of the terms and provisions of the Original Agreement are hereby amended to the extent necessary to give effect to the purpose and intent of this First Amendment.
Effect of this First Amendment. Except as otherwise set forth in this First Amendment, the provisions, representations, warranties, covenants and conditions of the Business Combination Agreement shall remain unchanged by the terms of this First Amendment, and shall remain in full force and effect in accordance with their respective terms, and are hereby ratified, approved and confirmed in all respects. In the event of any conflict or inconsistency between the terms of this First Amendment and the terms of the Business Combination Agreement, the terms of this First Amendment shall control. From and after the date of this First Amendment, all references to the Business Combination Agreement (whether in the Business Combination Agreement or this First Amendment) shall refer to the Business Combination Agreement as amended by this First Amendment.
Effect of this First Amendment. This First Amendment amends the terms of the License Agreement and is deemed incorporated into, and governed by all other terms of, the License Agreement. To the extent that the License Agreement is explicitly amended by this First Amendment, the terms of this First Amendment will control where the terms of the License Agreement are contrary to or conflict with the terms of this First Amendment. All other terms and conditions of the License Agreement not explicitly amended by this First Amendment shall remain in full force and effect. The License Agreement shall, together with this First Amendment, be read and construed as a single instrument.
Effect of this First Amendment. This First Amendment shall not change, modify, amend or revise the terms, conditions and provisions of the Agreement, which are incorporated herein by reference, except as expressly provided herein and agreed upon by the parties hereto in writing. The parties expressly agree that, except as expressly provided herein, all terms and conditions of the Agreement shall remain and continue in full force and effect in accordance with their terms.
Effect of this First Amendment. Unless expressly revised by this First Amendment, all other terms and conditions of the 2012 Agreement shall remain in effect and unchanged by this First Amendment.
Effect of this First Amendment. Except as expressly set forth herein, this First Amendment shall not by implication or otherwise limit, impair, constitute a waiver of or otherwise affect the rights and remedies of the Lenders or the Administrative Agent under the Existing Credit Agreement or any other Loan Document, and shall not alter, modify, amend or in any way affect any of the terms, conditions, obligations, covenants or agreements contained in the Existing Credit Agreement or any other provision of the Existing Credit Agreement or any other Loan Document, all of which are ratified and affirmed in all respects and shall continue in full force and effect. Nothing herein shall be deemed to entitle the Borrower or any other Credit Party to a consent to, or a waiver, amendment, modification or other change of, any of the terms, conditions, obligations, covenants or other provisions contained in the Existing Credit Agreement or any other Loan Document in similar or different circumstances after the date hereof. This First Amendment is hereby designated as a Loan Document by the Borrower.
Effect of this First Amendment. Except as expressly provided for in this First Amendment, this First Amendment shall not, in any way or manner, rescind, supplement or modify any existing term or provision of the Credit Agreement or any other Loan Document or waive or diminish any right or remedy of Lenders under the Credit Agreement, or any other Loan Document, at law in or equity. All of the amendments set forth in this First Amendment shall be effective as of the date hereof.
Effect of this First Amendment. The Loan Documents are hereby amended as required (and only as required) to give effect to the amendments expressly provided for in this First Amendment. Each and every one of the Loan Documents shall be deemed to have been amended by this First Amendment as if such Loan Documents had been specifically amended by separate instrument. This First Amendment shall be a Loan Document, and all references in any Loan Document to the "Loan Documents" shall refer to the Loan Documents, as amended hereby.
Effect of this First Amendment. Except as amended by this First Amendment, the Agreement shall not be further amended, modified or revised and the Agreement, as hereby amended, shall continue in full force and effect and shall be enforced in accordance with its terms and conditions.
