Effect of this Second Amendment. Except as amended and/or modified by this Second Amendment, the Purchase Agreement is hereby ratified and confirmed and all other terms of the Purchase Agreement are and shall remain in full force and effect, unaltered and unchanged by this Second Amendment. In the event of any conflict between the provisions of this Second Amendment and the provisions of the Purchase Agreement, the provisions of this Second Amendment shall control. Whether or not specifically amended by this Second Amendment, all of the terms and provisions of the Purchase Agreement are hereby amended to the extent necessary to give effect to the purpose and intent of this Second Amendment.
Effect of this Second Amendment. The provisions of this Second Amendment shall be effective for all parties effective as of the Second Amendment Date. Except as necessary to carry out the intent of this Second Amendment and as specifically modified pursuant hereto, no other changes or modifications to the Loan Agreement are intended or implied and in all other respects such documents shall continue to be and shall remain unchanged and in full force and effect in accordance with their respective terms, and are hereby specifically ratified, reaffirmed and confirmed by all parties hereto as of the effective date hereof.

Effect of this Second Amendment. Except as expressly set forth herein, this Second Amendment shall not by implication or otherwise limit, impair, constitute a waiver of or otherwise affect the rights and remedies of the Lenders or the Administrative Agent under the Existing Credit Agreement or any other Loan Document, and shall not alter, modify, amend or in any way affect any of the terms, conditions, obligations, covenants or agreements contained in the Existing Credit Agreement or any other provision of the Existing Credit Agreement or any other Loan Document, all of which are ratified and affirmed in all respects and shall continue in full force and effect. Nothing herein shall be deemed to entitle the Borrower or any other Credit Party to a consent to, or a waiver, amendment, modification or other change of, any of the terms, conditions, obligations, covenants or other provisions contained in the Existing Credit Agreement or any other Loan Document in similar or different circumstances after the date hereof. This Second Amendment is hereby designated as a Loan Document by the Borrower.
Effect of this Second Amendment. Except as expressly provided for in this Second Amendment, this Second Amendment shall not, in any way or manner, rescind, supplement or modify any existing term or provision of the Credit Agreement or any other Loan Document or waive or diminish any right or remedy of Lenders under the Credit Agreement, or any other Loan Document, at law in or equity. All of the amendments set forth in this Second Amendment shall be effective as of the date hereof.
Effect of this Second Amendment. The Loan Agreement, the Revolving L/C Note, and the other Loan Documents are hereby amended as required (and only as required) to give effect to the extension of the maturity date of the Revolving L/C Loan expressly provided for in paragraph 1 of this Second Amendment. Each and every one of the Loan Documents shall be deemed to have been amended by this Second Amendment as if such Loan Documents had been specifically amended by separate instrument. This Second Amendment shall be a Loan Document, and all references in any Loan Document to the "Loan Documents" shall refer to the Loan Documents, as amended by the First Amendment and as further amended by this Second Amendment.
Effect of this Second Amendment. The amendment to Section 2.2(a) contained in this Second Amendment shall supersede the amendment to Section 2.2(a) contained in the First Amendment. Except as amended by the First Amendment and this Second Amendment, the Stock Purchase Agreement shall not be further amended, modified, or revised and the Stock Purchase Agreement, as hereby and heretofore amended, shall continue in full force and effect and shall be enforced in accordance with its terms and conditions. The Stock Purchase Agreement may only be further amended, modified, revised, or supplemented by a dated written instrument executed by Buyer and Seller.
Effect of this Second Amendment. All of the amendments set forth in this Second Amendment shall be effective as of December 24, 1996.
