Effect of Violation. Failure to comply with any provision of this Addendum shall constitute a material breach of the Agreement. Institution, in its capacity as a Processor, shall be liable for such breach to extent permitted by applicable Laws, if such breach is the fault of Service Provider’s or its subprocessors.
