No Violation of Rights of Third Parties. Executive warrants that the performance of all the terms of this Agreement does not and will not breach any agreement to keep in confidence proprietary information, knowledge or data acquired by Executive prior to Executive’s employment with Employer. Executive agrees not to disclose to Employer, or induce Employer to use, any confidential or proprietary information or material belonging to any previous employers or others. Executive warrants that Executive is not a party to any other agreement that will interfere with Executive’s full compliance with this Agreement. Executive further agrees not to enter into any agreement, whether written or oral, in conflict with the provisions of this Agreement while such provisions remain effective.
No Violation of Rights of Third Parties. During my employment with Company, I will not (a) breach any agreement to keep in confidence any confidential or proprietary information, knowledge or data acquired by me prior to my employment with Company or (b) disclose to Company, or use or induce Company to use, any confidential or proprietary information or material belonging to any previous employer or any other third party. I am not currently a party, and will not become a party, to any other agreement that is in conflict, or will prevent me from complying, with this Agreement.

Executive is not currently a party, and will not become a party, to any other agreement that is in conflict, or will prevent Executive from complying, with this Agreement.

Executive represents and warrants to the Company that Executive is not currently a party, and will not become a party, to any other agreement that is in conflict with, or will prevent Executive from complying with, this Agreement. Executive further represents and warrants to the Company that Executive’s performance of all of the terms of this Agreement as an employee of the Company does not and will not breach any agreement to keep in confidence any proprietary information, knowledge, or data acquired by Executive in confidence or trust prior to Executive’s employment with the Company. Executive acknowledges and agrees that the representations and warranties in this Section 8 are a material part of this Agreement.

Employee represents and warrants to the Employer that Employee is not currently a party, and will not become a party, to any other agreement that is in conflict with, or will prevent Employee from complying with, this Agreement. Employee further represents and warrants to the Employer that Employee’s performance of all of the terms of this Agreement as an employee of the Employer does not breach any other agreement or violate any duty which Employee may have to any other person or entity (such as a present or former employer), including obligations concerning providing services (whether or not competitive) to others, confidentiality of proprietary information and assignment of inventions, ideas, patents or copyrights, and Employee agrees that he will not do anything in the performance of services hereunder that would violate any such duty.

Employee represents and agrees that performance of all the terms of this Agreement and as an employee of Company does not and will not breach any agreement to keep in confidence proprietary information, knowledge or data acquired by Employee prior to his or her employment with Company, and Employee confirms that he or she will not disclose to Company, or induce Company to use, any confidential or proprietary information or material belonging to any previous employer or third party to whom he or she owes a duty of confidentiality. Employee further warrants that in the course of performing services for Company's benefit under this Agreement, Employee will use only skills and knowledge based on experience and information which is generally known and used by persons with training and experience which is common knowledge in the industry.

Executive agrees not to disclose to SGX, or induce SGX to use, any confidential or proprietary information or material belonging to any previous employers or others. Executive warrants that Executive is not a party to any other agreement that will interfere with Executive's full compliance with this Agreement. Executive further agrees not to enter into any agreement, whether written or oral, in conflict with the provisions of this Agreement.
No Violation of Rights of Third Parties. Consultant represents and warrants to the Company that he is not currently a party, and will not become a party, to any other agreement that is in conflict with, or will prevent both of them from complying with this Agreement, or breach any other agreement or violate any duty which they may have to any other Person.
No Violation of Rights of Third Parties. By entering into this Agreement with the Company, Employee represents that Employee is not a party to any other agreement which will interfere with Employee’s ability to fully and satisfactorily provide the services for which Employee is being employed by the Company. During Employee’s employment with the Company, Employee will not breach any agreement between Employee and any third party to keep in confidence proprietary information, knowledge or data belonging to that third party that was acquired by Employee prior to Employee’s employment with Company. In addition, Employee agrees that Employee will not disclose to the Company, or induce the Company to use, any confidential or proprietary information or material belonging to any previous employer or others. Employee agrees not to enter into any agreement, whether written or oral, in conflict with Employee’s promises in this provision.
