Common use of Effect on Obligations Clause in Contracts

Effect on Obligations. Termination of this Agreement pursuant to this Article shall terminate all obligations of the parties hereunder; provided, however, that termination pursuant to paragraph (b) of Section 8.01 shall not relieve any party that breached its covenants or agreements contained herein or in any related agreement from any liability to the other party hereto by reason of such breach.

Effect on Obligations. Termination of this Agreement pursuant to this Article shall terminate all obligations of the parties hereunder; provided, howeverexcept for the obligations under Sections 12.8 and 12.11 hereof and the obligations set forth in the next succeeding sentence of this Section 10.2. Upon any termination of this Agreement each party hereto will redeliver all documents, that termination pursuant to paragraph (b) work papers and other material of Section 8.01 shall not relieve any other party that breached its covenants or agreements contained herein or in any related agreement from any liability relating to the other party hereto by reason transactions contemplated hereby, and all copies of such breachmaterials, whether so obtained before or after the execution hereof, to the party furnishing the same.

Upon any termination pursuant to paragraph (b) of Section 8.01 shall not relieve this Agreement each party hereto will redeliver all documents, work papers and other material of any other party that breached its covenants or agreements contained herein or in any related agreement from any liability relating to the other party hereto by reason transactions contemplated hereby, and all copies of such breachmaterials, whether so obtained before or after the execution hereof, to the party furnishing the same.

Termination of this Agreement pursuant to this Article XI shall terminate all obligations of the parties hereunder, except for the obligations under Sections 7.4, 11.4, 13.6, 13.7 and 13.10; provided, however, however that termination pursuant to paragraph (b) of Section 8.01 Sections 11.2 or 11.3 shall not relieve any defaulting or breaching party that breached its covenants or agreements contained herein or in any related agreement parties from any liability to the other party hereto by reason of such breachparties hereto.
