Common use of Effect on Obligations Clause in Contracts

Effect on Obligations. Termination of this Agreement pursuant to this Article shall terminate all obligation of the parties hereunder, except for the obligations under this Section 10.2 and Sections 11.2 (with respect to expenses), 11.3 (with respect to publicity) and 5.2 (with respect to confidentiality); provided, however, that termination pursuant to Section 10.1(b) or Section 10.1(c) shall not relieve the defaulting or breaching party from any liability to any other party under this Agreement.

Effect on Obligations. Termination of this Agreement pursuant to this Article VIII shall terminate all obligation obligations of the parties hereunder, except for the obligations under Sections 9.11, 9.12 and 9.13 and this Section 10.2 and Sections 11.2 (with respect to expenses), 11.3 (with respect to publicity) and 5.2 (with respect to confidentiality)8.02; provided, however, that termination pursuant to Section 10.1(b) or Section 10.1(c) nothing shall not relieve the defaulting or breaching party (whether or not it is the terminating party) from any liability to any the other party under this Agreementhereto.

Effect on Obligations. Termination of this Agreement pursuant to this Article 12 shall terminate all obligation obligations of the parties hereunder, except for the obligations under this Section 10.2 Sections 14.1, 14.2, 14.8, 14.9, and Sections 11.2 (with respect to expenses), 11.3 (with respect to publicity) and 5.2 (with respect to confidentiality)14.11; provided, however, that termination by Buyer or Seller pursuant to Section 10.1(bclauses (b) or (c) of Section 10.1(c) 12.1 shall not relieve the defaulting or breaching party from any liability to any the other party under this Agreementhereto.

Termination of this Agreement pursuant to this Article 8 shall terminate all obligation obligations of the parties hereunder, except for the obligations under this Section 10.2 and Sections 11.2 (with respect to expenses), 11.3 (with respect to publicity) and 5.2 (with respect to confidentiality); provided, however, that termination pursuant to Section 10.1(bclauses (C) or (D) of Section 10.1(c) 8.1 shall not relieve the defaulting or any breaching party from any liability to any the other party under this Agreementparties hereto.

Termination of this Agreement pursuant to this Article Section 10.1 hereof shall terminate all obligation obligations of the parties hereunder, except for the their obligations under this Section 10.2 Article 11 and Article 12 hereof and Sections 11.2 (with respect to expenses), 11.3 (with respect to publicity) 6.2 and 5.2 (with respect to confidentiality); provided, however, that termination pursuant to Section 10.1(b) or Section 10.1(c) shall not relieve the defaulting or breaching party from any liability to any other party under this Agreement7.2 hereof.

Effect on Obligations. Termination of this Agreement pursuant to this Article VII shall terminate all obligation obligations of the parties hereunder, except for the obligations under this Section 10.1 (entitled "Brokerage"), Section 10.2 and Sections 11.2 (with respect to expenses), 11.3 (with respect to publicityentitled "Expenses") and 5.2 Section 10.4 (with respect to confidentialityentitled "Attorneys' Fees"); provided, however, that termination pursuant to Section 10.1(b) 7.1.4 or Section 10.1(c) 7.2.4 shall not relieve the breaching or defaulting or breaching party from any liability to any the other party or affect Sellers' right to liquidated damages under this AgreementSection 8.2.

Effect on Obligations. Termination of this Agreement pursuant to this Article VIII shall terminate all obligation obligations of the parties hereunder, except for the obligations under Sections 9.11, 9.12 and 9.13, the last sentence of Section 4.03 and this Section 10.2 and Sections 11.2 (with respect to expenses), 11.3 (with respect to publicity) and 5.2 (with respect to confidentiality)8.02; provided, however, that termination pursuant to Section 10.1(b) or Section 10.1(c) nothing shall not relieve the defaulting or breaching party (whether or not it is the terminating party) from any liability to any the other party under this Agreementhereto.

Effect on Obligations. Termination of this Agreement pursuant to this Article X shall terminate all obligation obligations of the parties hereunder, except for the obligations under this Section 10.2 Article XI and Sections 11.2 (with respect to expenses)12.08, 11.3 (with respect to publicity) 12.09, and 5.2 (with respect to confidentiality)12.11; provided, however, that termination by Seller pursuant to Section 10.1(bclause (b) or by Buyer or Seller pursuant to clause (c) of Section 10.1(c) 10.01 shall not relieve the defaulting or breaching party from any liability to any the other party under this Agreementhereto.

Effect on Obligations. Termination of this Agreement pursuant to this Article Section 7.1 shall terminate all obligation obligations of the parties hereunder, except for the obligations under Sections 9.6, 9.9, 9.11, 9.12 and this Section 10.2 and Sections 11.2 (with respect to expenses), 11.3 (with respect to publicity) and 5.2 (with respect to confidentiality)7.2; provided, however, that termination pursuant to Section 10.1(b) or Section 10.1(c) nothing herein shall not relieve the defaulting or breaching party from any liability to any the other party under this Agreementparties hereto.
