Common use of Effect Clause in Contracts

Effect. As of the Effective Date, (a) Assignee shall be a party to the Credit Agreement and, to the extent provided in this Assignment, have the rights and obligations of a Lender under the Credit Agreement and (b) Assignor shall, to the extent provided in this Assignment, relinquish its rights (except those surviving the termination of the Commitments and payment in full of the Obligations) and be released from its obligations under the Loan Documents other than those obligations relating to events and circumstances occurring prior to the Effective Date.

Effect. As of the Effective Date, (a) each Assignee shall be a party to the Credit Agreement and, to the extent provided in this Assignment, have the rights and obligations of a Lender under the Credit Agreement and (b) each Assignor shall, to the extent provided in this Assignment, relinquish its rights (except those surviving the termination of the Commitments and payment in full of the Obligations) and be released from its obligations under the Loan Documents other than those obligations relating to events and circumstances occurring prior to the Effective Date.

Effect. As of the Effective Date, (a) Assignee shall be a party to the Credit Agreement and, to the extent provided in this Assignment, have the rights and obligations of a Lender under the Credit Agreement and (b) Assignor shall, to the extent provided in this Assignment, relinquish its rights (except those surviving the termination of the Revolving Loan Commitments and payment in full of the Obligations) and be released from its obligations under the Loan Documents other than those obligations relating to events and circumstances occurring prior to the Effective Date.

As of the Effective Date, (a) Assignee shall be a party to the Credit Loan Agreement and, to the extent provided in this Assignment, have the rights and obligations of a Lender under the Credit Loan Agreement and (b) Assignor shall, to the extent provided in this Assignment, relinquish its rights (except those surviving the termination of the Commitments and payment in full of the Obligations) and be released from its obligations under the Loan Documents other than those obligations relating to events and circumstances occurring prior to the Effective Closing Date.

Effect. As of the Effective Date, (a) Assignee shall be a party to the Credit Term Loan Agreement and, to the extent provided in this Assignment, have the rights and obligations of a Term Lender under the Credit Term Loan Agreement and (b) Assignor shall, to the extent provided in this Assignment, relinquish its rights (except those surviving the termination of the Term Loan Commitments and payment in full of the Obligations) and be released from its obligations under the Loan Documents other than those obligations relating to events and circumstances occurring prior to the Effective Date.

Effect. As of the Effective Date, (a) Assignee shall be a party to the First-Lien Credit Agreement and, to the extent provided in this Assignment, have the rights and obligations of a Lender under the First-Lien Credit Agreement and (b) Assignor shall, to the extent provided in this Assignment, relinquish its rights (except those surviving the termination of the Commitments and payment in full of the Obligations) and be released from its obligations under the Loan Documents other than those obligations relating to events and circumstances occurring prior to the Effective Date.

Effect. As of the Assignment Effective Date, (a) the Assignee shall be a party to the Credit Agreement and, to the extent provided in this AssignmentAssignment and the Credit Agreement, have the rights and obligations of a Lender under the Credit Agreement and (b) the Assignor shall, to the extent provided in this Assignment, relinquish its rights (except those surviving the termination of the Commitments and payment in full of the Obligations) and be released from its obligations under the Loan Documents other than those obligations relating to events and circumstances occurring prior to the Assignment Effective Date.

Effect. As of the Effective Date, (a) Assignee shall be a party to the Credit Term Loan Agreement and, to the extent provided in this Assignment, have the rights and obligations of a Term Lender under the Credit Term Loan Agreement and (b) Assignor shall, to the extent provided in this Assignment, relinquish its rights (except those surviving the termination of the Term Loan A Commitments and payment in full of the Obligations) and be released from its obligations under the Loan Documents other than those obligations relating to events and circumstances occurring prior to the Effective Date.

Effect. As of the Effective Date, (a) Assignee shall be a party to the Second Lien Credit Agreement and, to the extent provided in this Assignment, have the rights and obligations of a Lender under the Second Lien Credit Agreement and (b) Assignor shall, to the extent provided in this Assignment, relinquish its rights (except those surviving the termination of the Term Loan Commitments and payment in full of the Obligations) and be released from its obligations under the Loan Documents other than those obligations relating to events and circumstances occurring prior to the Effective Date.

Effect. As of the Effective Date, (a) Assignee shall be a party to the Letter of Credit Agreement and, to the extent provided in this Assignment, have the rights and obligations of a Lender an L/C Issuer under the Letter of Credit Agreement and (b) Assignor shall, to the extent provided in this Assignment, relinquish its rights (except those surviving the termination of the Commitments obligations to Issue Letters of Credit and the payment in full of the Obligations) and be released from its obligations under the Loan Credit Documents other than those obligations relating to events and circumstances occurring prior to the Effective Date.

Effect. As of the Effective Date, (a) Assignee shall be a party to the Credit Agreement and, to the extent provided in this AssignmentAgreement, have the rights and obligations of a Lender under the Credit Agreement and (b) Assignor shall, to the extent provided in this AssignmentAgreement, relinquish its rights (except those surviving the termination of the Commitments and payment in full of the Obligations) and be released from its obligations under the Loan Documents other than those obligations relating to events and circumstances occurring prior to the Effective Date.

Effect. As of the Effective Date, (a) Assignee shall be a party to the Credit Agreement and, to the extent provided in this Assignment, have the rights and obligations of a Lender under the Credit Agreement (subject to the provisions of Section 11.2(g)) and (b) Assignor shall, to the extent provided in this Assignment, relinquish its rights (except those surviving the termination of the Commitments and payment in full of the Obligations) and be released from its obligations (except those surviving the payment in full of the Obligations) under the Loan Documents other than those obligations relating to events and circumstances occurring prior to the Effective Date.

As of the Effective Date, (a) Assignee shall be a party to the Credit Loan Agreement and, to the extent provided in this Assignment, have the rights and obligations of a Lender under the Credit Loan Agreement and (b) Assignor shall, to the extent provided in this Assignment, relinquish its rights (except those surviving the termination of the Commitments and payment in full of the Obligations) and be released from its obligations under the Loan Documents other than those obligations relating to events and circumstances occurring prior to the Effective Date.

As of the Effective Date, (a) each Assignee shall be a party to the First Lien Credit Agreement and, to the extent provided in this Assignment, have the rights and obligations of a Lender under the First Lien Credit Agreement and (b) each Assignor shall, to the extent provided in this Assignment, relinquish its rights (except those surviving the termination of the Commitments and payment in full of the Obligations) and be released from its obligations under the Loan Documents other than those obligations relating to events and circumstances occurring prior to the Effective Date.

Effect. As of the Effective Date, (a) each Assignee shall be a party to the Credit Loan Agreement and, to the extent provided in this Assignment, have the rights and obligations of a Lender under the Credit Loan Agreement and (b) each Assignor shall, to the extent provided in this Assignment, relinquish its rights (except those surviving the termination of the Delayed Draw Term Loan Commitments and payment in full of the Obligations) and be released from its obligations under the Loan Documents other than those obligations relating to events and circumstances occurring prior to the Effective Date.

Effect. As of the Effective Date, (a) Assignee shall be a party to the Credit Loan Agreement and the Intercreditor Agreement and, to the extent provided in this Assignment, have the rights and obligations of a Lender under the Credit Loan Agreement and Intercreditor Agreement and (b) Assignor shall, to the extent provided in this Assignment, relinquish its rights (except those surviving the termination of the Commitments and payment in full of the Obligations) and be released from its obligations under the Loan Documents other than those obligations relating to events and circumstances occurring prior to the Effective Date.

Effect. As of the Effective Date, (a) Assignee shall be a party to the Credit Loan and Security Agreement and, to the extent provided in this Assignment, have the rights and obligations of a Lender under the Credit Loan and Security Agreement and (b) Assignor shall, to the extent provided in this Assignment, relinquish its rights (except those surviving the termination of the Term Loan Commitments and payment in full of the Obligations) and be released from its obligations under the Loan Documents other than those obligations relating to events and circumstances occurring prior to the Effective Date.
