Effective Date and Completion Date. In accordance with Article L. 236-4 of the Commercial Code, the Contribution shall have retroactive effect as of 1st July 2016 (the Effective Date) from an accounting and tax perspective. Consequently, transactions related to the elements transferred in relation to the Contribution and which are carried out by the Contributing Company from the Effective Date until the date on which the satisfaction of the conditions precedent referred to in Clause 9 (together, the Conditions Precedent) has been acknowledged, and therefore the final completion of the Contribution (the Completion Date), shall be automatically considered as having been carried out on behalf of the Beneficiary Company which shall exclusively benefit from or suffer the result of the operation of the assets and rights transferred during this period.
