Effective Date and Expiration Date. This Amendment will become effective on the Spin-Off Date, provided the Spin-Off occurs on or before June 30, 2014. If the Spin-Off does not occur on or prior to June 30, 2014, this Agreement will terminate and be of no effect whatsoever.
