Effectiveness and Employment. (a) The obligations of the Company in this Agreement shall become effective on the consummation (the “Effective Date”) of that Agreement and Plan of Merger, dated as of November 6, 2020, by and among Verano Holdings, LLC, Alternative Medical Enterprises, LLC, Plants of Ruskin GPS, LLC and RVC 360, LLC, which transactions include, among other things, such parties becoming subsidiaries of the Company pursuant to a business combination to be effected under an arrangement governed by the laws of British Columbia (the “Combination”).
