Effectiveness and Prior Agreement. This Agreement will become effective upon, and the Prior Agreement will terminate immediately prior to, the Effective Date. Notwithstanding any other provision of this Agreement, if the Merger Agreement is terminated prior to the Effective Date, this Agreement will have no further force or effect, and the Prior Agreement will continue in effect as though this Agreement had not been entered into.
