Effectiveness; Governing Law. This Amendment shall be effective upon acceptance by Agent and Lenders (notice of which acceptance is hereby waived), whereupon the same shall be governed by and construed in accordance with the internal laws of the State of Georgia.

This Agreement shall be effective upon acceptance by Lender (notice of which acceptance is hereby waived) whereupon the same shall be governed by and construed in accordance with the internal laws of the State of Georgia; provided, that, if this Agreement is not executed by Borrower and delivered to Lender on or before December 31, 1997, the amendments contained herein shall be null and void and Lender's consents contained herein shall be ineffective.

THIS AGREEMENT AND THE OTHER LOAN DOCUMENTS SHALL BE EFFECTIVE UPON ACCEPTANCE BY LENDER IN PHILADELPHIA, PENNSYLVANIA (NOTICE OF WHICH ACCEPTANCE IS WAIVED BY EACH BORROWER) WHEREUPON THIS AGREEMENT AND THE OTHER LOAN DOCUMENTS, AND ALL MATTERS ARISING OUT OF OR RELATING TO THIS AGREEMENT AND THE OTHER LOAN DOCUMENTS, SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE COMMONWEALTH OF PENNSYLVANIA, WITHOUT GIVING EFFECT TO PRINCIPLES OF CONFLICTS OF LAWS, AND SHALL BE CONSTRUED WITHOUT THE AID OF ANY CANON, CUSTOM OR RULE OF LAW REQUIRING CONSTRUCTION AGAINST THE DRAFTSMAN.
