Common use of Effectiveness of Assignments Clause in Contracts

Effectiveness of Assignments. Upon its receipt of a duly completed Assignment and Acceptance executed by an assigning Lender and an assignee, the assignee's completed Administrative Questionnaire and applicable tax forms, if any, requested by the Paying Agent (unless the assignee shall already be a Lender hereunder), the processing and recordation fee referred to in paragraph (b) of this Section (if required) and any written consents to such assignment required by paragraph (b) of this Section, the Paying Agent shall accept such Assignment and Acceptance and record the information contained therein in the Register. No assignment shall be effective for purposes of this Agreement unless it has been recorded in the Register as provided in this paragraph.

Effectiveness of Assignments. Upon its receipt of a duly completed Assignment and Acceptance Assumption executed by an assigning Lender and an assignee, the assignee's ’s completed Administrative Questionnaire and applicable tax forms, if any, requested by the Paying Agent Borrower (unless the assignee shall already be a Lender hereunder), the processing and recordation fee referred to in paragraph (bc) of this Section (if required) and any written consents to such assignment required by paragraph (bc) of this Section, the Paying Administrative Agent shall accept such Assignment and Acceptance and Assumption, record the information contained therein in the RegisterRegister and notify the Borrower thereof in writing. No assignment shall be effective for purposes of this Agreement unless it has been recorded in the Register as provided in this paragraph.
