Common use of Effectiveness of Merger Clause in Contracts

Effectiveness of Merger. The Merger shall become effective under the laws of Florida upon the later of (i) filing of these Articles of Merger with the Secretary of State of the State of Florida and the Secretary of State of the State of Texas; or (ii) October 1, 1997 (the "Effective Date"). Such Effective Date shall be indicated on Certificates of Merger issued by the Secretary of State of the State of Florida and by the Secretary of State of the State of Texas pursuant to the Florida Act and Texas Law.

Effectiveness of Merger. Such Effective Date shall be indicated on Certificates of Merger issued by the Secretary of State of the State of Florida and by the Secretary of State of the State of Texas North Carolina pursuant to the provisions of Sections 607.1101-607.1107 of the Florida Business Corporation Act (the "Florida Act") and Texas the laws of the State of North Carolina ("North Carolina Law").

The Merger shall become effective under the laws of Florida upon the later of (i) filing of these Articles of Merger with the Secretary of State of the State of Florida and the Secretary of State of the State of TexasNevada; or (ii) October June 1, 1997 1996 (the "Effective Date"). Such Effective Date shall be indicated on Certificates of Merger issued by the Secretary of State of the State of Florida and by the Secretary of State of the State of Texas Nevada pursuant to the Florida Act and Texas Nevada Law.
