Common use of Effectiveness of Section Clause in Contracts

Effectiveness of Section. If at any time during the term of the Executive’s employment by the Employer pursuant to this Agreement, a Change in Control of the Employer (as defined below) shall occur, the provisions of this Section 10 shall become effective without any limitation on any other rights the Executive may have under this Agreement. Sections (c) and (d) of this Section 10 shall become ineffective with respect to such Change in Control on the first anniversary of the date on which such Change in Control occurs (the “Change in Control Date”) unless the Executive’s employment has theretofore been terminated for any reason; provided, however, that if another Change in Control occurs after such first anniversary, Sections 10(c) and (d) shall become effective once again with respect to such subsequent Change in Control. If the Executive’s employment so terminates prior to such first anniversary, the provisions of Sections 10(c) and (d) shall survive so long as the Executive or Executive’s Beneficiaries are entitled to any benefits under this Agreement.

If the Executive’s 's employment so terminates prior to such first third anniversary, the provisions of Sections 10(c9(d) and (de) shall survive so long as the Executive or Executive’s his Beneficiaries are entitled to any benefits under this Agreement.
