Effects of Expiration or Termination; Surviving Obligations. (a) Effects of Expiration or Termination. Upon expiration or termination of this Agreement, all rights and obligations of the Parties under this Agreement shall terminate, except as set forth in Sections 15.3(b) and 15.3(c).

If termination shall occur prior to the Settlement Date for any sale of Shares, such sale shall nevertheless settle in accordance with the terms of this Agreement.
