Effects of the Merger Merger Consideration. (a) The Merger shall have the effects set forth in the MGCL and as hereinafter set forth. Immediately following the Merger, the Surviving Corporation shall (i) continue its corporate existence under the laws of the State of Maryland, (ii) be a wholly-owned, subsidiary of Acquiror and (iii) succeed to all rights, assets, liabilities and obligations of Target in accordance with the MGCL. At the Effective Time, in accordance with the relevant provision of the MGCL, the separate existence of Target shall cease and the Surviving Corporation shall succeed, without other transfer, to all the rights and property of Target and shall be subject to all the debts and liabilities of each in the manner provided by the MGCL. (b) At the Effective Time each share of common stock, par value $.01 per share, of Newco issued and outstanding immediately prior to the Effective Time shall remain outstanding and by reason of the Merger and without any action by the holder thereof represent one validly issued, fully paid and non-assessable share of common stock, par value $.01 per share, of the Surviving Corporation. Subject to adjustment as contemplated by Sections 4 and 12 of the Contracts Agreement, at the Effective Time, each share of Target's common stock, par value $.01 per share (the "Target Common Stock") issued and outstanding, shall be converted, by reason of the Merger and without any action by the holder thereof, into its pro rata portion (based on the number of shares of Target Common Stock outstanding) of (i) the sum of $400,000 and (ii) such number of common shares of beneficial interest, par value $.01 per share, of Acquiror (the "Acquiror Common Shares") as would in the aggregate have a Fair Market Value (as defined below) of one million six hundred thousand dollars ($1,600,000), upon the surrender of the certificate(s) representing the shares of Target Common Stock (collectively, the "Merger Consideration"); provided, however, that (i) the portion of the Merger Consideration payable to Xxxxx X. Xxxxxxxxx shall consist solely of cash, (ii) the other Shareholders shall share pro rata in the remaining portion of the cash consideration (subject to the election by such Shareholders to distribute the cash otherwise), and (iii) Target may elect in its sole and absolute discretion upon written notice to Acquiror not less than three (3) days prior to the Merger Closing Date, that the portion of the Merger Consideration payable in Acquiror Common Shares be increased and the...

Effects of the Merger Merger Consideration. Under the terms of the merger agreement, Merger Sub will merge with and into the Company with the Company continuing as the surviving corporation in the merger and becoming a wholly-owned subsidiary of Parent.   • Effects of the Mergers As a result of the mergers, the partners in the participating partnerships will have no continuing interest in those partnerships. Following the mergers, there will be no trading market for the partnership interests in, and no further distributions paid to the former partners of, the participating partnerships. In addition, following the consummation of the mergers, the registration of any partnership interests in participating partnerships under the Securities Exchange Act of 1934 will be terminated. Partners of nonparticipating partnerships will receive cash distributions that are delayed for administrative purposes at the same time Pioneer USA mails checks to the partners of participating partnerships in payment of merger values.

  • Payment of Merger Consideration (a) As soon as reasonably practicable after the Effective Time, the Surviving Entity (or its successor in interest) shall deliver to each holder of SPE LLC Interests whose SPE LLC Interests have been converted into the right to receive the Merger Consideration pursuant to Section 1.05(b) hereof, the Merger Consideration payable to such holder in the amounts and form provided in Section 1.05(b) hereof. The issuance of the OP Units and admission of the recipients thereof as limited partners of the Operating Partnership pursuant to Section 1.05(b) shall be evidenced by an amendment to Exhibit A of the Operating Partnership Agreement, and the Operating Partnership shall deliver, or cause to be delivered, an executed copy of such amendment to each Pre-Formation Participant receiving OP Units hereunder. (b) The Surviving Entity (or its successor in interest) shall not be liable to any holder of SPE LLC Interests for any portion of the Merger Consideration delivered to a public official pursuant to any applicable abandoned property, escheat or similar Law. (c) So long as some portion of the Merger Consideration is in the form of OP Units, the parties hereto intend and agree that, for United States federal income tax purposes, the Merger shall constitute an “assets-over” partnership merger within the meaning of Treasury Regulations Section 1.708-1(c)(3)(i), and, as a result, that (i) any payment of cash or REIT Shares for SPE LLC Interests of such holder shall be treated as a sale of such SPE LLC Interests by the holder and a purchase of such SPE LLC Interests by the Operating Partnership for the cash and/or REIT Shares so paid under the terms of this Agreement in accordance with Treasury Regulations Section 1.708-1(c)(4), and (ii) each such holder of SPE LLC Interests who accepts cash and/or REIT Shares shall explicitly agree and consent (the “Sale Consent”) to such treatment in their Consent Form as a condition to electing such consideration. To the extent the Operating Partnership acquires any SPE LLC Interests as described above, or previously acquired such interests, for United States federal income tax purposes the receipt by the Operating Partnership of the portion of property attributable to such SPE LLC Interests shall be treated as a distribution by the SPE LLC in redemption of such SPE LLC Interests. Notwithstanding Section 1.05(b) and any holder’s election as to the form of their Merger Consideration, if any holder (other than a non-accredited investor) fails to execute a Sale Consent prior to the Closing, such holder’s Merger Consideration shall consist solely of OP Units. Any cash paid as the Merger Consideration to a non-accredited investor for a SPE LLC Interests shall be paid only after the receipt of a Sale Consent from such holder.

  • Adjustments to Merger Consideration The Merger Consideration shall be adjusted to reflect fully the effect of any reclassification, stock split, reverse split, stock dividend (including any dividend or distribution of securities convertible into Company Common Stock), reorganization, recapitalization or other like change with respect to Company Common Stock occurring (or for which a record date is established) after the date hereof and prior to the Effective Time.

  • The Merger Closing (a) As soon as reasonably practicable on the Closing Date, the Company and Merger Subsidiary shall execute and file articles of merger with the Department of Financial Institutions of the State of Wisconsin and make all other filings or recordings required by the WBCL to be made in connection with the Merger. The Merger shall become effective at such time as the articles of merger are duly filed with the Department of Financial Institutions of the State of Wisconsin or, if agreed to by the Company and Parent, at such later time as is specified in the articles of merger (the "Effective Time"). (d) The closing of the transactions contemplated hereby (the "Closing") shall take place at the offices of Skadden, Arps, Slate, Xxxxxxx & Xxxx LLP, Four Times Square, New York, New York 10036-6522, at 10:00 a.m. local time, as soon as reasonably practicable, but in any event within two (2) Business Days after the satisfaction or, to the extent permitted hereby, waiver of all of the conditions to the Merger, other than those conditions that by their nature are to be fulfilled at Closing, but subject to the satisfaction or waiver of such conditions, unless this Agreement has been heretofore terminated pursuant to its terms or another time or date is agreed to in writing by the parties hereto (the actual time and date of the Closing being referred to herein as the "Closing Date").
