Other Transfer definition

Other Transfer. “Otherwise Transfer” and other forms of such terms with respect to copyrightable materials, such as software products, mean the granting of licenses to use copyrightable materials.
Other Transfer means the sale or transfer (by merger or otherwise) of the Company’s direct or indirect interest in any Other Business to ETP or its subsidiaries or to Regency or its subsidiaries, provided that if the outstanding principal balance of the Loans is greater than $1,250,000,000 then to the extent necessary to reduce the outstanding principal balance of the Loans to $1,250,000,000, (i) at the time such sale or transfer occurs, no contractual or statutory limitations exist which would limit or adversely condition the ability of the Company or its subsidiaries to dividend or lend the Net Asset Sale Proceeds to the Borrower and (ii) within three (3) Business Days, the seller(s) in fact cause such funds to be dividended or lent or otherwise distributed to the Borrower.

Other Transfer means a transfer in whole or in part: (i) to an existing spouse or domestic partner who is also an obligor under the Promissory Note; (ii) by a Borrower to a spouse or domestic partner where the spouse or domestic partner either inherits the Home from the Owner or becomes the co-owner of the Home and holds partial title to the home; (iii) between spouses as part of a marriage dissolution proceeding; (iv) by Borrower into a inter vivos revocable trust in which Borrower is the beneficiary; or (v) by recordation of an Other Deed of Trust. Other Transfers are subject to the terms and conditions of Section 6 in the Property Restriction Agreement. For purposes of this section, "domestic partner" shall mean two unmarried people, at least eighteen (18) years of age, who have lived together continuously for at least one (1) year and who are jointly responsible for basic living expenses incurred during their domestic partnership. Domestic partners may not be persons related to each other by blood or adoption such that their marriage would be barred in the state of California.

Related to Other Transfer

  • IDR Transfer Agreement means an agreement to transfer, subject to the terms of Tariff, Part VI, section 237, Incremental Deliverability Rights to a party for the purpose of eliminating or reducing the need for Local or Network Upgrades that would otherwise have been the responsibility of the party receiving such rights. “Immediate-need Reliability Project” shall have the same meaning provided in the Operating Agreement.
