Either Party May Terminate if Other Party Breaches. Without prejudice to the provisions of Section 13.4 through Section 13.10, either party may terminate this License Agreement if the other party (or any Licensee Affiliate) fails to perform any obligation under this License Agreement and such failure is not remedied within forty-five (45) days after receipt of a notice specifying the nature of such failure and requiring it to be remedied. Such right of termination shall be without prejudice to any other remedy to which the non-defaulting party may be lawfully entitled and all such remedies shall be cumulative.
