Electronic Data Room Sample Clauses

Electronic Data Room. (a) As of the start of each Research Program Term, on a Research Program-by-Research Program basis, Ablynx will host an electronic data room or SharePoint Web site onto which Ablynx will upload all relevant information and documentation relating to the Research Program on a rolling basis as it is generated or becomes available (the “Electronic Data Room”). The Electronic Data Room will include reports describing results generated by Ablynx during the Research Program Term, [...***...]. Such data room will be fully accessible by the Parties during the Term. (b) Ablynx will allow Sanofi to audit, upon reasonable advance notice and during working hours, the security of its relevant IT systems for the Electronic Data Room. Sanofi will notify Ablynx if it determines that Ablynx’s security procedures do not satisfy Sanofi’s requirements, and Sanofi may elect to assume responsibility for hosting the Electronic Data Room unless Ablynx is able to cure such deficiency within [...***...] of such notice. In the event Sanofi hosts the Electronic Data Room, Sanofi will allow Ablynx to audit, upon reasonable advance notice and during working hours, the security of its relevant IT systems.

Electronic Data Room. The Issuer shall maintain an electronic data room to which the Bridge Noteholders and their advisers shall be provided access (subject to the Bridge Noteholders being bound by an obligation of confidentiality to the Issuer) and which the Issuer shall populate with any documents and information reasonably requested by the Bridge Noteholders in connection with the Existing Notes, the Original Bridge Notes, the New Bridge Notes and the New Bridge Notes (2) and any relevant contingency planning.

Electronic Data Room. As of the start of each Research Program Term, on a Research Program-by-Research Program basis, Codiak will host an electronic data room or SharePoint Web site onto which Codiak and its Affiliates will upload certain relevant information and documentation relating to the Research Program (the “Electronic Data Room”). The Electronic Data Room will contain information reasonably calculated to keep Jazz apprised of the progress of the Research Program and will consist of the following: (a) all reports describing material results generated by Codiak or its Affiliates during the Research Program Term, taking into account Codiak’s usual procedures for processing, validating and ensuring quality control of raw research data (with the intention being that any such reports containing processed, validated and quality controlled data will be made available within the Electronic Data Room essentially at the same time as they become available to Codiak or its Affiliates or as soon as possible thereafter), (b) material research protocols, (c) material manufacturing assays and analytics, (d) material agreements with Third Parties relevant to the Research Program (subject to confidentiality provisions therein), and (e) other material information as mutually agreed upon by the Parties. For clarity, raw research data not contained in research reports will not be uploaded into the Electronic Data Room. Jazz and its Affiliates will be entitled, but not required, to upload information or documentation relating to the Research Program to the Electronic Data Room and to download information or documentation uploaded by Codiak or its Affiliates. Unless otherwise agreed, such data room will be fully accessible by Jazz and its Affiliates during the Term. In the event that, during the applicable Research Program Term, Codiak intends to shut down such dataroom for any period of time or permanently, it shall notify Jazz in advance and provide to Jazz and its Affiliates a copy of the contents of the Electronic Data Room prior to shutting down such data room.

Electronic Data Room. Within ten (10) Business Days following the Closing Date, Sellers shall deliver to Purchaser, or shall make available for download by Purchaser, a true and correct digital copy of all documents in the Electronic Data Room as of the Closing Date.

Electronic Data Room. Seller shall deliver, or cause to be delivered, to Buyer copies of all documents related to the Acquired Companies that are contained in the Electronic Data Room as of the date that is two (2) Business Days prior to the Closing Date, on a CD Rom, memory stick or other agreed upon format.

Electronic Data Room. As soon as practicable following the date hereof, the Seller Parties shall cause to be delivered to Purchaser an electronic copy of the complete contents of the Data-Room (on CD-ROM or comparable media).

Electronic Data Room. 1. The Parties agree that 2 electronic copies of the electronic Data Room shall be stored at a CD or DVD and handed over to the officiating notary without undue delay after the Signing Date. The officiating notary shall keep the CD or DVD as documents of proof for a period of at least ten (10) years after the Closing Date. 2. Sellers guarantee and confirm that the Data Room does not contain any documents or information other than those made available to Purchasers and their advisors without restrictions before April 16, 2004 24:00 hours and shall make available the log files for the time thereafter to Purchasers. 3. Sellers shall procure that the Data Room shall be kept open and updated from time to time for the Purchasers and their advisors and solely for Purchasers, their advisors and Sellers, for a period until at least the Closing Date, and any investigation by Purchasers and their advisors during such period shall not affect the Sellers' guarantees under this Agreement.

Electronic Data Room. On or promptly following the date hereof, Sellers shall deliver, or cause to be delivered, to the Purchaser Entities, an electronic copy of the Data Room as of the Data Room Posting Deadline containing all of the documents and information made available by Sellers to the Purchaser Entities therein as of such date. At or promptly following Closing, Sellers shall deliver, or cause to be delivered, to the Purchaser Entities an electronic copy of the Data Room as of ten (10) days prior to the Closing Date containing all of the documents and information made available by Sellers to the Purchaser Entities therein as of such date.

Electronic Data Room. The Seller Parties shall cause to be delivered to the Purchaser Parties an electronic copy of the complete contents of the Data-Room (on CD-ROM or comparable media) no later than three (3) Business Days following Closing.
