Common use of Electronic Delivery Permitted Clause in Contracts

Electronic Delivery Permitted. Documents required to be delivered pursuant to Sections 8.01(c)(v), 8.02(b)(i) and 8.02(b)(ii) (to the extent such documents are filed with the SEC) may be delivered electronically, including by filing with the SEC, and if so delivered, shall be deemed to have been delivered on the date (A) on which Parent posts such documents, or provides a link thereto on Parent’s website on the internet at xxx.xxxxxx.xxx; (B) on which such documents are posted on Parent’s or Xxxxxx’ behalf on an internet or intranet website, if any, to which each Purchaser and the Administrative Agent has access (whether a commercial, third-party website or sponsored by the Administrative Agent); or (iii) filed with the SEC.
