Electronic Participation. The Company may, in its sole discretion, decide to deliver any documents related to this Agreement by electronic means. The Participant hereby consents to receive such documents by electronic delivery, including through an on-line or electronic system established and maintained by the Company or a third party designated by the Company.

Electronic Participation. A member of the Board of Directors, an Executive Committee member, or ad hoc committee member may participate in a meeting of the Board of Directors, an Executive Committee meeting, or Ad- Hoc committee meeting respectively, by means of a telephonic conference or other similar communications equipment when it is otherwise difficult or impossible for the member to attend the meeting in person, provided that each member participating by conference telephone can be identified when speaking and all participants and attendees, both in person and teleconferenced, are able to hear each other at the same time.
Electronic Participation. At such time as the Indian Companies Act allows board meetings to be held by electronic means, the Directors may participate in Board of Directors meetings by such electronic means (including by and in conference, video conference or such other means by which all of the participating Directors may hear each other at the same time), and such participation shall constitute presence for purposes of the quorum provisions of Section 7.6(c).
Electronic Participation. Commissioners unable to be physically present but who wish to participate electronically in a meeting shall be connected to the anchor location by means of a conference using electronic communications, subject to the requirements of the Act, including the following conditions: 1. At the appointed time, the Board shall initiate contact with those Commissioners who indicated they will attend electronically. 2. Commissioners participating electronically will be allowed to use a cellular or mobile telephone as long as they are in a safe quiet place and their participation is not disruptive to the meeting. If participation in a closed meeting the Board shall use a secure, encrypted internet line, a secure, hard telephone line, or similar, that prevents unauthorized parties from listening. 3. Commissioners participating electronically shall not use speaker phones or other communication equipment that may allow unauthorized parties to overhear the meeting.

Electronic Participation. 14.5.1 Proceedings of the Directors may be conducted by utilising conference telephone facilities, video conferencing facilities or any other means convenient in the circumstances, provided that the minimum quorum referred to in clause 14.2 is constituted, and provided that the method employed ordinarily enables all persons participating in such meeting to communicate concurrently with each other without an intermediary, and to participate reasonably effectively in the meeting. A resolution agreed to during the course of such proceedings shall be as valid and effectual as if it had been passed at a meeting of the Directors duly called and constituted. 14.5.2 The Board shall cause a copy of the minutes of all proceedings of the Board to be disseminated to all Directors within seven days of such meeting.
Electronic Participation. 17.7.1 Shareholders' meetings may be conducted entirely by electronic communication or one or more Shareholders (or their proxies) may participate by electronic communication in all or part of a meeting that is being held in person, provided that the electronic communication facility employed ordinarily enables all Shareholders participating in that meeting to communicate concurrently with one another without any intermediary and to participate reasonably effectively in the meeting. 17.7.2 A resolution approved by Shareholders holding the requisite number of votes, who were connected by electronic communication at a Shareholders’ meeting, shall be valid and shall be deemed to have been passed on the date on which the meeting was held. 17.7.3 Within 10 Business Days after the adoption or failing of a resolution at a meeting contemplated in clause 17.7.1, the Company shall: (a) deliver to each Shareholder a copy of the resolution proposed with a statement describing the results of the vote, consent process or election as the case may be; and (b) insert a copy of the resolution into the Company's minute book.
Electronic Participation. 1. Pursuant to Section 238 (3.3) of the Municipal Act, 2001 (as may be amended from time to time), Members of Committees or Local Boards may participate in meetings electronically; 2. Members participating electronically may participate in meetings that are closed to the public. Confidentiality must be maintained; 3.
