Electronic Participation. i. A member of the Board of Directors, an Executive Committee member, or ad hoc committee member may participate in a meeting of the Board of Directors, an Executive Committee meeting, or ad hoc committee meeting respectively, by means of a telephonic conference or other similar communications equipment when it is otherwise difficult or impossible for the member to attend the meeting in person, provided that each member participating by conference telephone can be identified when speaking and all participants and attendees, both in person and teleconferenced, are able to hear each other at the same time.
