Common use of Elimination of Registration Rights Clause in Contracts

Elimination of Registration Rights. Notwithstanding anything to the contrary in paragraphs (a) and (b) of this Section 6, no Holders are entitled to have their Warrant Shares registered under the Securities Act if, in the opinion of counsel to the Company, they may be sold without restriction under Rule 144(k) promulgated under the Securities Act and any restrictive legends under the Securities Act are removed from the certificates representing such securities and any stop transfer order for the certificates is removed.

Elimination of Registration Rights. Notwithstanding anything to the contrary in paragraphs (a) and (b) of this Section 66(a), no Holders are holders of Warrant Shares shall be entitled to have their Warrant Shares such securities registered under the Securities Act in accordance with the provisions of Section 6(a) if, in the opinion of counsel to the Company, they may be sold without restriction under pursuant to Rule 144(k) promulgated under the Securities Act and any restrictive legends under the Securities Act are removed from the certificates representing such securities and any stop transfer order for the such certificates is removed.
