Common use of Ellie Xxx Xxxxx Clause in Contracts

Ellie Xxx Xxxxx. First American Title shall not modify, alter or obfuscate Ellie Xxx Xxxxx or use Ellie Xxx Xxxxx in a manner that disparages Ellie Mae or its service or products, including, without limitation, the Ellie Mae Platform, or portrays Ellie Mae in a false, competitively adverse or poor light. First American Title shall comply with any restrictions that Ellie Mae may establish as to the form of use of Ellie Xxx Xxxxx and shall avoid any action that diminishes the value of such Ellie Xxx Xxxxx. First American Title’s unauthorized use of Ellie Xxx Xxxxx is strictly prohibited. In the event of a violation of this paragraph, Ellie Mae, in its sole discretion, may terminate this Agreement, terminate the trademark license, or specify additional restrictions First American Title shall comply with, and seek monetary damages, injunctions and/or any other remedies available to it at law or in equity.
