Employee Policies and Procedures. The Company Disclosure Schedules contain a complete and accurate list of all employee manuals and all material policies, procedures and work-related rules (the "Employee Policies and Procedures") that apply to employees of the Company. The Company has provided or made available to Acquiror a copy of all written Employee Policies and Procedures and a written description of all material unwritten Employee Policies and Procedures.
