Common use of Employee’s Release of Liability Clause in Contracts

Employee’s Release of Liability. Employee agrees to the following general release: (a) Employee hereby releases, acquits and forever discharges the Company, its subsidiaries, divisions, affiliates, agents, independent contractors, shareholders, employees, directors, and officers, and all of its predecessors and successors (collectively referred to in this Release as “Released Parties”) of and from any and all causes of action, suits, proceedings, claims, demands, rights, obligations, losses, injury, costs, expenses, compensation and all other damages and liabilities of any kind or nature whatsoever, whether known or unknown, suspected or unsuspected, asserted or assertable (collectively “Claims”) which Employee now owns or holds, or at any time has owned or held, against the Released Parties arising out of or related to contract (express and/or implied), tort, payment of wages, Title VII of the Civil Rights Act of 1964, the Civil Rights Act of 1991, the Civil Rights Acts of 1866 and 1871, the Age Discrimination in Employment Act, as amended, the Family Medical Leave Act, the Fair Labor Standards Act, the Employee Retirement Income Security Act of 1974, the Americans With Disabilities Act of 1991, the Equal Pay Act of 1963, the Rehabilitation Act of 1973, and/or any other federal, state or local statute, law, ordinance, order or principle of common law, or any Claim in relation to Employee’s ownership or sale of Company stock or participation in any compensation or stock plan or any Claim relating to any other law, common or statutory, resulting from any act or omission committed or omitted prior to the date this Release is signed, and specifically including Claims arising out of or in consequence of the employment relationship between Employee and Company, or the termination thereof. (b) Employee hereby represents, warrants and agrees that Employee has not initiated, nor will he initiate, any legal proceedings, charges, complaints or other actions in any court or administrative agency regarding the Claims released herein and that none of the Claims has been assigned, encumbered or otherwise transferred. Employee further waives any right he may have to any benefit or other relief the Equal Employment Opportunity Commission, or similar state or local agency, might seek on his behalf, and he agrees to direct such agency to withdraw or dismiss any such action.

Employee’s Release of Liability. Employee agrees to the following general release: (a) Except for claims available to Employee for recovery under a directors and officers insurance or indemnification policy, Employee does hereby releasesrelease, acquits waive and forever discharges discharge the Company, its subsidiariesit agents, owners, employees, officers, directors, stockholders, representatives and all related companies, divisions, affiliatessubsidiaries, agents, independent contractors, shareholders, employees, directors, parent and officers, affiliated companies and any employee benefit plan or trust (whether or not subject to the Employee Retirement Income Security Act of 1974 (“ERISA”)) sponsored or contributed to by the Company or any of its affiliates and all of its predecessors and successors fiduciaries thereto (collectively referred to in this Release as or individually the “Released Parties”) of ), from all claims, liabilities, demands, and from any and all causes of action, suits, proceedings, claims, demands, rights, obligations, losses, injury, costs, expenses, compensation and all other damages and liabilities of any kind or nature whatsoever, whether known or unknown, suspected fixed or unsuspectedcontingent, asserted including claims for wages, damages (whether or assertable not liquidated) and/or attorneys’ fees and costs (collectively “Claims”) ), which Employee now owns may have or holds, or at any time has owned or held, claim to have against the Released Parties in any way arising out of Employee’s employment with the Company and/or the Employment Agreement or related that otherwise may exist on the date this Release is executed, including, but not limited to contract (Claims arising under any purported contract, written or oral, express or implied; Claims arising under any tort theory of recovery; Claims arising under any federal, state, and local laws prohibiting employment discrimination on account of race, religion, color, sex, national origin, age, and/or implied)disability, tort, payment of wagesincluding but not limited to, Title VII of the Civil Rights Act of 1964, the Civil Rights Act of 1991, the Civil Rights Acts of 1866 and 1871, the Age Discrimination in Employment ActAct (“ADEA”), as amendedthe Rehabilitation Act of 1973, the Americans with Disabilities Act of 1991 (“ADA”), the Family and Medical Leave ActAct of 1993, the Fair Labor Standards Act, the Employee Retirement Income Security Act of 1974ERISA, the Americans With Disabilities Oklahoma Anti-Discrimination Act of 1991, the Equal Pay Act of 1963, the Rehabilitation Act of 1973, and/or (all as amended from time to time) and any other federal, state or local law, statute, lawregulation, code or ordinance; and Claims arising in any other way, order directly or principle indirectly, and without regard to the legal theory or form of common lawaction underlying such Claims, arising or any Claim in relation alleged to arise out of Employee’s ownership employment by the Company and/or the Employment Agreement or sale of Company stock or participation in any compensation or stock plan or any Claim relating to any other law, common or statutory, resulting from any act or omission committed or omitted prior to that otherwise may exist on the date this Release is signedexecuted against the Released Parties, and specifically including any Claims arising out brought on behalf of employee or in consequence as a member of the employment relationship between Employee and Companyany class, or the termination thereofas allowed by law. (b) Employee hereby represents, warrants warrants, and agrees that Employee has not initiated, nor will he initiate, initiated any legal proceedings, charges, complaints complaints, or other actions in any court or administrative agency regarding the Claims released herein and that none of the Claims has been assigned, encumbered or otherwise transferredherein. Employee further waives agrees to release, waive, relinquish and forego all legal relief, equitable relief, statutory relief, reinstatement, back pay, front pay and any right he other damages, benefits, remedies or relief that Employee could receive from actions or suits filed, charged, instituted, or pursued by any agency or commission based upon or arising out of the matters which are released and waived by this Release. (c) Employee specifically understands and agrees that Employee is releasing all claims, damages, and causes of action that Employee may have under any local, state, federal or common law meant to protect workers from age discrimination in their employment relationships including, without limitation, the Age Discrimination in Employment Act, as amended, the Oklahoma Anti-Discrimination Act, and any benefit or other relief the Equal Employment Opportunity Commissionfederal, or similar state or local agencylaws prohibiting age discrimination in employment, might seek on his behalfwhether known or not, arising, directly or indirectly out of Employee’s employment with the Company and/or the termination of Employee’s employment with the Company. Employee further acknowledges that he is being hereby advised that this waiver and he agrees release does not apply to direct such agency to withdraw any rights or dismiss any such actionclaims that may arise after the execution date of this Release.
