Employment and Duties. The Company hereby employs Employee as Vice President-Merchandising of the Company on the terms and subject to the conditions contained in this Agreement. Employee shall be responsible for determining, managing and implementing the merchandising strategies and programs of the Company. Employee hereby accepts such employment and agrees to perform in good faith and to the best of Employee's ability all services which may be required of Employee hereunder, to do what is asked of him, and to be available to render services at all times and places in accordance with such directions, requests, rules and regulations made by the Company in connection with Employee's employment. The Company hereby employs Employee as its Senior Vice President-Merchandising President of the Company Global Operations on the terms and subject to the conditions contained in this Agreement. Employee shall be responsible for determining, managing and implementing the merchandising strategies and programs of the Company's information technology department, planning and sourcing department, logistics and distribution department, customer service department and international sales for Asia and The Americas. Employee hereby accepts such employment and agrees to perform in good faith and to the best of Employee's ability all services which may be required of Employee hereunder, to do what is asked of him, hereunder and to be available to render services at all reasonable times and places in accordance with such directions, requests, rules and regulations made by the Company in connection with Employee's employment. Employee hereby acknowledges and understands the duties and services that are expected of him hereunder, and he hereby represents that he has the experience and knowledge to perform such duties and services. Employee shall, during the term hereof, devote Employee's full working time and energy to performing his duties. Employee shall report directly and exclusively to the President and Chief Executive Officer. Employee shall be based at the Company's corporate officesoffices in southern California. Employee shall not be transferred or reassigned to any location outside of southern California without Employee's prior written consent. Employee understands, however, that Employee may be required to travel within and out of the State of California to discharge his duties hereunder.

Employee shall be responsible for determining, managing and implementing the merchandising strategies and programs of the Company's day-to-day accounting operations. Employee hereby accepts such employment and agrees to perform in good faith and to the best of Employee's ability all services which may be required of Employee hereunder, to do what is asked of him, and to be available to render services at all times and places in accordance with such directions, requests, rules and regulations made by the Company in connection with Employee's employment. Employee hereby accepts such employment and agrees to perform in good faith and to the best of Employee's ability all services which may be required of Employee hereunder, to do what is asked of him, and to be available to render services at all times and places in accordance with such directions, requests, rules and regulations made by the Company in connection with Employee's employment. Employee hereby accepts such employment and agrees to perform in good faith and to the best of Employee's ability all services which may be required of Employee hereunder, to do what is asked of him, and to be available to render services at all times and places in accordance with such directions, requests, rules and regulations made by the Company in connection with Employee's employment. Employee hereby acknowledges and understands the duties and services that are expected of him hereunder, and he hereby represents that he has the experience and knowledge to perform such duties and services. Employee shall be responsible for determining, managing and implementing the merchandising strategies and programs of the Company's promotions and events departments; managing the Company's Xxxx Xxxxxxx Snowboard Camp; and managing the Company's sales efforts in Asia and Central and South America. Employee hereby accepts such employment and agrees to perform in good faith and to the best of Employee's ability all services which may be required of Employee hereunder, to do what is asked of him, and to be available to render services at all times and places in accordance with such directions, requests, rules and regulations made by the Company in connection with Employee's employment. Employee hereby acknowledges and understands the duties and services that are expected of him hereunder, and he hereby represents that he has the experience and knowledge to perform such duties and services. Employee shall be responsible for determining, (i) managing and implementing the merchandising strategies and programs of the Company's promotional activities, including but not limited to the Company's on-ground activities at the VANS Warped Tour,(TM) and (ii) managing the Company's High Xxxxxxx Xxxwboard Camp. Employee hereby accepts such employment and agrees to perform in good faith and to the best of Employee's ability all services which may be required of Employee hereunder, to do what is asked of him, and to be available to render services at all times and places in accordance with such directions, requests, rules and regulations made by the Company in connection with Employee's employment. Employee hereby acknowledges and understands the duties and services that are expected of him hereunder, and he hereby represents that he has the experience and knowledge to perform such duties and services. Employee shall, during the term hereof, devote Employee's full time and energy to performing his duties. Employee shall report to the Vice President and Chief Executive Officer- Global Marketing. Employee shall be based at the Company's corporate offices. Employee shall be responsible for determining, managing and implementing directing the merchandising strategies and programs operation of the Company's apparel division. Employee hereby accepts such employment and agrees to perform in good faith and to the best of Employee's ability all services which may be required of Employee hereunder, to do what is asked of himher, and to be available to render services at all times and places in accordance with such directions, requests, rules and regulations made by the Company in connection with Employee's employment. Employee hereby acknowledges and understands the duties and services that are expected of him her hereunder, and he she hereby represents that he she has the experience and knowledge to perform such duties and services. Employee shall be responsible for determining, managing and implementing the merchandising strategies and programs of the Company's product development department and interfacing with the factories with which the Company contracts. Employee hereby accepts such employment and agrees to perform in good faith and to the best of Employee's ability all services which may be required of Employee hereunder, to do what is asked of him, and to be available to render services at all times and places in accordance with such directions, requests, rules and regulations made by the Company in connection with Employee's employment. Employee shall also be the Company's Chief Compliance Officer and principal legal advisor to the Board of Directors and its Committees. Employee hereby accepts such employment and agrees to perform in good faith and to the best of Employee's ability all services which may be required of Employee hereunder, to do what is asked of him, and to be available to render services at all times and places in accordance with such directions, requests, rules and regulations made by the Company in connection with Employee's employment. The Company Employer hereby employs Employee as Vice President-Merchandising of the Company on and Employee hereby accepts continued employment upon the terms and subject conditions hereinafter set forth. Employee agrees to devote his best efforts and full business time to rendering services as Executive Vice-President/Chief Operating Officer of the conditions contained Employer or in this Agreementsuch other positions as he may hold with the Employer. Employee shall be responsible for determining, managing perform those duties assigned by the Employer that are customarily associated with the foregoing positions. Employer may change the duties and implementing the merchandising strategies and programs responsibilities of the Companyposition from time to time provided that such changed duties and responsibilities, when taken together with the other duties and responsibilities then required of the Employee, do not constitute a DE FACTO demotion. Employee hereby accepts such employment agrees that he will not engage in any other gainful occupation during the term of this Agreement without the prior written consent of the Employer. Nothing contained herein shall be construed, however, to prevent Employee from trading, for his own account and agrees to benefit, in stocks, bonds, securities, real estate, commodities or other forms of investments. Employee shall perform assigned work in a competent, professional and timely manner. Employee, in the discharge of his responsibilities, will at all times act in good faith and use his best efforts to comply with applicable provisions of federal and Maryland law and regulations. In addition, Employee agrees to comply with the best of EmployeeEmployer's ability all services which may be required of Employee hereunder, to do what is asked of him, and to be available to render services at all times and places in accordance with such directions, requestspolicies, rules and regulations made regulations, as determined from time to time by the Company in connection with Employee's employment. Employee hereby accepts such employment and agrees to perform in good faith and to the best of Employee's ability all services which may be required of Employee hereunder, to do what is asked of him, and to be available to render services at all times and places in accordance with such directions, requests, rules and regulations made by the Company in connection with Employee's employment. Employee hereby acknowledges and understands the duties and services that are expected of him hereunder, and he hereby represents that he has the experience and knowledge to perform such duties and services. Employee hereby acknowledges and understands the duties and services that are expected of him hereunder, and he hereby represents that he has the experience and knowledge to perform such duties and services.
