Employment Term and Duties. 2.1 The Employer hereby agrees to employ the Executive, and the Executive hereby agrees to be employed by the Employer, upon the terms and conditions set forth in this Agreement.
2.2 Subject to the provisions of Clause 5, the initial term of the Executive’s employment under this Agreement will be 3 years, commencing on the Commencement Date. After the end of the initial 3 year term, the Executive’s employment under this Agreement will continue automatically until terminated by either Party giving to the other Party between 90 and 120 days’ written notice of termination prior to the next anniversary of this Agreement that such Party does not wish to extend Executive’s employment.
2.3 The Executive will serve as President and Chief Executive Officer of the Employer. The Executive will use his best efforts to promote the success of the Employer’s business, and will cooperate fully with the Board in the advancement of the best interests of the Employer.
2.4 The Executive will perform his duties hereunder based at Houston, Texas, subject to reasonable travel.
2.5 The Executive will be entitled to indemnification from the Employer to the maximum extent provided in the limited liability company agreement of Employer, as in effect on the Commencement Date, for acting as an officer or director or other representative of the Employer or its Affiliates when acting on behalf of the Employer or its Affiliates, as set forth therein. Executive will be provided with directors and officers liability insurance to the same extent as that provided to other officers and directors of the Employer and its Affiliates.

1. 1Employment. Effective on the Agreement Date, Employee will be employed as the Company's Chief Financial Officer. Employee accepts such employment and agrees to perform services for the Company pursuant to the terms and conditions set forth in this Agreement.

The Company shall exercise its reasonable best efforts to cause Employee to be nominated and elected (and, thereafter, re-elected, when applicable) to the Board while he holds the Position. Upon any cessation of Employee’s service in the Position, unless otherwise requested by the Board, Employee agrees to resign from all director and officer positions with the Company and its affiliates.

Skinxxx xxxll report directly to the Board of Directors of Eltron. Skinxxx xxxeby accepts such employment and, during the Employment Term shall devote his fill business time, skill, energy and attention to the business of Eltron, and shall perform his duties in a diligent, trustworthy, loyal, businesslike and efficient manner, all for the purpose of advancing the business of Eltron.

Employment Term and Duties. (a) Unless CEO's employment is terminated at an earlier date, this Agreement shall continue in full force and effect from the effective date entered above until June 30, 2021, subject to the provisions governing early termination of this Agreement contained herein.
(b) CEO shall devote substantially all of her business time, energy and skill to performing services for the Employer, provided that CEO may participate in civic organizations as long as it does not interfere with her responsibilities hereunder. CEO shall take direction and perform all tasks assigned by the School Board of Directors.
Employment Term and Duties. The Employer desires to offer the Executive continued employment with the Employer, along with enhanced conditions of employment and severance benefits, and the Executive wishes to accept such continued employment, upon the terms and conditions of this Agreement.
