Common use of Employment of Agents, etc Clause in Contracts

Employment of Agents, etc. (a) The Trustee shall be responsible for the general policies of the Trust and for the general supervision of the activities of the Trust conducted by all agents, employees, advisors or managers of the Trust. The Trustee shall have the power to appoint, employ or contract with any Person or Persons as the Trustee may deem necessary or proper for the transaction of all or any portion of the activities of the Trust. (b) The Trustee shall have the power to determine the terms and compensation of any Person whom he may employ or with whom he may contract pursuant to Section 5.11(a), subject to the provisions of Section 5.3 and Schedule A attached hereto. (c) The Trustee shall not be required to administer the Trust as his sole and exclusive function and the Trustee may have other business interests and may engage in other activities similar or in addition to those relating to the Trust, including the rendering of advice or services of any kind to investors or any other Persons and the management of other investments, subject to the Trustee’s obligations under this Agreement and applicable law.

(c) The No Trustee shall not be required to administer the Trust as his its sole and exclusive function and the such Trustee may have other business interests and may engage in other activities similar or in addition to those relating to the Trust, including the rendering of legal advice or services of any kind as a member of the firm of Xxxxxxx LLP or otherwise, to investors or any other Persons and the management of other investments, subject to the such Trustee’s 's obligations under this Agreement and applicable law.

(b) The Trustee shall have the power to determine the terms and compensation of any Person whom he it may employ or with whom he it may contract pursuant to Section 5.11(a5.12(a), subject to the provisions of Section 5.3 and Schedule A attached hereto5.4.
