Common use of Employment Termination More Than One Year After Grant Date Clause in Contracts

Employment Termination More Than One Year After Grant Date. If, on or after the first anniversary of the Grant Date, the Participant’s employment with the Company or any of its Affiliates terminates as a result of any of the reasons set forth below, or the Participant becomes eligible to retire or meets the age and service requirements, each as specified in (c)(i) below, then restrictions on RSUs shall automatically lapse or the RSUs shall be cancelled as provided below (subject to any rules adopted by the Committee):

Employment Termination More Than One Year After Grant Date. If, on or after the first anniversary of the Grant Date, the Participant’s employment with the Company or any of its Affiliates terminates as a result of any of the reasons set forth below, or the Participant becomes eligible to retire retire, or meets the age and service requirements, each as specified in (c)(id(i) below, then restrictions on RSUs shall automatically lapse or the RSUs Exercisable Dates and Expiration Date shall be cancelled automatically adjusted as provided below (subject to any rules adopted by the Committee):

If, on or after the first anniversary of the Grant Date and prior to the End Date, the Participant’s employment with the Company or any of its Affiliates terminates as a result of any of the reasons set forth below, or the Participant becomes eligible to retire or meets the age and service requirements, each as specified in (c)(i) below, then the restrictions on RSUs the PSUs shall automatically remain eligible to lapse based on attainment of the Performance Condition or the RSUs shall be cancelled as provided below (subject to any rules adopted by the Committee):

Employment Termination More Than One Year After Grant Date. If, on or after the first anniversary of the Grant Date and prior to the End Date, the Participant’s employment with the Company or any of its Affiliates terminates as a result of any of the reasons set forth below, or the Participant becomes eligible to retire or meets the age and service requirements, each as specified in (c)(id)(i) below, then the restrictions on RSUs the OPSUs shall automatically remain eligible to lapse based on attainment of the Performance Condition or the RSUs shall be cancelled as provided below (subject to any rules adopted by the Committee):

If, on or after the first anniversary of the Grant Date, the ParticipantGrantee’s employment with the Company or any of its Affiliates affiliates terminates as a result of any of the reasons set forth below, or the Participant Grantee becomes eligible to retire or meets the age and service requirements, each as specified in (c)(i) below, then restrictions on RSUs shall automatically lapse or the RSUs shall be cancelled as provided below (subject to any rules adopted by the Committee):
