Common use of Employment; Titles; Reporting Clause in Contracts

Employment; Titles; Reporting. The Company agrees to employ the Employee and the Employee agrees to commence employment with the Company, upon the terms and subject to the conditions provided under this Agreement. During the Employment Term (as defined in Section 2), the Employee will serve the Company as its Senior Vice President and Chief Financial Officer. In such capacity, the Employee will report to the Chief Executive Officer of the Company (the “CEO”) or such position designated by the CEO and otherwise will be subject to the direction and control of the CEO or such position designated by the CEO, and the Employee will have such duties, responsibilities and authorities as may be assigned to the Employee by the CEO or such position designated by the CEO from time to time to the extent consistent with Employee’s position as Senior Vice President and Chief Financial Officer in a publicly traded company comparable to the Company.

In such capacity, the Employee will report to the Chief Executive Officer of the Company (the “CEO”) or such position designated by the CEO and otherwise will be subject to the direction and control of the CEO or such position designated by the CEO, and the Employee will have such duties, responsibilities and authorities as may be assigned to the Employee by the CEO or such position designated by the CEO from time to time to the extent consistent with Employee’s position as Senior Vice President and Chief Financial Officer Onshore Operations in a publicly traded company comparable to the Company.

In such capacitythe Employee’s capacity as Vice President and Chief Accounting Officer, the Employee will report to the Chief Executive Financial Officer of the Company (the “CEOCFO”) or such position designated by the CEO and otherwise will be subject to the direction and control of the CEO or such position designated by the CEOCFO, and the Employee will have such duties, responsibilities and authorities as may be assigned to the Employee by the CEO or such position designated by the CEO CFO from time to time to the extent consistent with Employee’s position as Senior Vice President and Chief Financial Officer the chief accounting officer in a publicly traded company comparable to the Company.
