Enforceable Nature of Agreement. This Agreement and each of the documents and agreements to be delivered by Seller at the Closing, constitute legal, valid and binding obligations of Seller, enforceable against Seller in accordance with their respective terms, except to the extent that enforceability may be limited by applicable bankruptcy, insolvency, fraudulent conveyance, moratorium, or similar laws affecting the enforcement of creditors' rights generally, and subject, as to enforceability, to general principles of equity (regardless of whether enforcement is sought in a court of law or equity).
Enforceable Nature of Agreement. This Agreement and each of the documents and agreements to be delivered by Current Operator concurrently herewith or hereafter, constitute and will constitute legal, valid and binding obligations of Current Operator, enforceable against Current Operator in accordance with their respective terms, except to the extent that enforceability may be limited by applicable bankruptcy, insolvency, fraudulent conveyance, moratorium, or similar laws affecting the enforcement of creditors’ rights generally, and subject, as to enforceability, to general principles of equity (regardless of whether enforcement is sought in a court of law or equity).
Enforceable Nature of Agreement. This Agreement constitutes a legal, valid, and binding obligation of the Town, enforceable against the Town in accordance with its terms.

Enforceable Nature of Agreement. This Agreement and each of the documents and agreements to be delivered by Glendale constitutes a legal, valid and binding obligation of Glendale, enforceable against Glendale in accordance with its terms subject to bankruptcy, insolvency, and general principles of equity. If Owner obtains knowledge prior to the Closing that any of the foregoing representations and warranties are inaccurate in any material respect, and such inaccuracy is not the result of the City's fraud or the City's intentional misrepresentation, Owner’s sole and exclusive remedy in such event shall be to elect, on or before the earlier of the scheduled Closing Date or five (5) business days after Owner learns of such inaccuracy, to either (1) waive such inaccuracy and proceed to Closing in accordance with this Agreement or (2) terminate this Agreement by notice given to the City (unless the City cures such inaccuracy prior to expiration of the 5-business day period).
Enforceable Nature of Agreement. This Agreement and each of the documents and agreements to be executed by Owner constitutes a legal, valid and binding obligation of Owner, enforceable against Owner in accordance with its terms, subject to bankruptcy, insolvency, and general principles of equity;
Enforceable Nature of Agreement. This Option Agreement and each of the documents and agreements to be delivered by Optionor at the Closing, constitutes a legal, valid and binding obligation of Optionor, enforceable against Optionor in accordance with its terms.
