Common use of Enforcement of Proprietary Rights Clause in Contracts

Enforcement of Proprietary Rights. Employee will assist Employer in every proper way to obtain and from time to time enforce United States and foreign Proprietary Rights relating to Employer Inventions in any and all countries. To that end Employee will execute, verify and deliver such documents and perform such other acts (including appearances as a witness) as the Employer reasonably requests for use in applying for, obtaining, perfecting, evidencing, sustaining and enforcing such Proprietary Rights and the assignment thereof. In addition, Employee will execute, verify and deliver assignments of such Proprietary Rights to the Employer or its designee. Employee's obligation to assist the Employer with respect to Proprietary Rights relating to such Employer Inventions in any and all countries shall continue beyond the termination of Employee's employment, but the Employer shall compensate Employee at a reasonable rate after Employee's termination for the time actually spent by Employee at the Employer's request of such assistance. In the event the Employer is unable for any reason, after reasonable effort, to secure Employee's signature on any document needed in connection with the actions specified in the preceding paragraph, Employee hereby irrevocably designate and appoint the Employer and its duly authorized officers and agents as Employee's agent and attorney in fact, to act for and in Employee's behalf to execute, verify and file any such documents and to do all other lawfully permitted acts to further the purposes of the preceding paragraph thereon with the same legal force and effect as if executed by Employee. Employee hereby waives and quitclaims to the Employer any and all claims, of any nature whatsoever, which Employee now or may hereafter have for infringement of any Proprietary Rights assigned hereunder to the Employer.

In the event the Employer Company is unable for any reason, after reasonable effort, to secure Employee's Executive’s signature on any document needed in connection with the actions specified in the preceding paragraph, Employee Executive hereby irrevocably designate designates and appoint appoints the Employer Company and each of its duly authorized officers and agents as Employee's Executive’s agent and attorney in fact, which appointment is coupled with an interest, to act for and in Employee's on Executive’s behalf to execute, verify and file any such documents and to do all other lawfully permitted acts to further the purposes of the preceding paragraph thereon with the same legal force and effect as if executed by EmployeeExecutive. In addition, Employee Executive will execute, verify and deliver assignments of such Proprietary Rights Property and all rights therein to the Employer Company or its designee. In addition, Employee Executive will execute, verify and deliver assignments of such Proprietary Rights to the Employer Company or its designee. EmployeeTo that end Executive will execute, verify, and deliver such documents and perform such other acts (including, at Company expense, appearances as a witness) as the Company may reasonably request for use in applying for, obtaining, perfecting, evidencing, sustaining, and enforcing such Proprietary Rights and the assignment thereof. Employee During and after Executive’s employment with the Company, Executive will assist Employer the Company in every proper way to obtain obtain, maintain and from time to time enforce and defend, United States and foreign Company Proprietary Rights relating to Employer Inventions in any and all countries. To that end Employee end, Executive will execute, verify and deliver such documents and perform such other acts (including appearances as a witness) as the Employer Company may reasonably requests request for use in applying for, obtaining, perfecting, evidencing, sustaining sustaining, maintaining, defending and enforcing such Company Proprietary Rights and the assignment thereofof such Company Proprietary Rights and Company Inventions. In addition, Employee Executive will execute, verify verify, and deliver assignments of such Company Proprietary Rights and Company Inventions to the Employer Company or its designee. Employee's obligation to assist the Employer with respect to Proprietary Rights relating to such Employer Inventions Executive’s obligations under this Section 11(j) will continue in any and all countries shall continue perpetuity beyond the termination conclusion of Employee's Executive’s employment, but . ​ If the Employer shall compensate Employee at a reasonable rate after Employee's termination for the time actually spent by Employee at the Employer's request of such assistance. In the event the Employer Company is unable for any reason, after reasonable effort, to secure Employee's Executive’s signature on any document needed in connection with the actions specified in the preceding paragraph, Employee Executive hereby irrevocably designate designates and appoint appoints the Employer Company and its duly authorized officers and agents as Employee's Executive’s agent and attorney in fact, which appointment is coupled with an interest, to act for and in Employee's Executive’s behalf to execute, verify and file any such documents and to do all other lawfully permitted acts to further the purposes of the preceding paragraph thereon with the same legal force and effect as if executed by EmployeeExecutive.
