Entire Agreement; Amendment and Waivers. This Agreement and the ---------------------------------------- documents referred to herein and to be delivered pursuant hereto constitute the entire agreement between the parties pertaining to the subject matter hereof, and supersede all prior and contemporaneous agreements, understandings, negotiations and discussions of the parties, whether oral or written, and there are no warranties, representations or other agreements between the parties in connection with the subject matter hereof, except as specifically set forth herein. No amendment, supplement, modification, waiver or termination of this Agreement shall be binding unless executed in writing by the party to be bound thereby. No waiver of any of the provisions of this Agreement shall be deemed or shall constitute a waiver of any other provision or breach of this Agreement, whether or not similar, unless otherwise expressly provided. Each of the Sellers expressly agrees with Buyer that the Sellers may agree to and execute, on behalf of the Sellers, any and all amendments, supplements, modifications, waivers or termination of this Agreement.

This Xxxx of Sale, --------------------------------------- Assignment and Assumption Agreement and the ---------------------------------------- documents referred to herein Asset Purchase Agreement, together with the exhibits and to be delivered pursuant hereto schedules attached thereto, constitute the entire agreement between the parties pertaining to the subject matter hereof, hereof and supersede all prior and contemporaneous agreements, understandings, negotiations and discussions of the partiesdiscussions, whether oral or written, of the parties, and there are no warrantiesrepresentations, representations warranties or other agreements between among the parties in connection with the subject matter hereof, hereof except as specifically set forth hereinspecifically herein or therein or contemplated hereby or thereby. No amendment, supplement, modification, modification or waiver or termination of this Xxxx of Sale, Assignment and Assumption Agreement shall be binding unless executed in writing by the party to be bound thereby. No waiver of any of the provisions of this Xxxx of Sale, Assignment and Assumption Agreement shall be deemed or shall constitute a waiver of any other provision or breach of this Agreement, hereof (whether or not similar), nor shall such waiver constitute a continuing waiver unless otherwise expressly provided.
