This Agreement may shall not be amended, supplemented amended or modified, and no provisions hereof may be modified or waived, except by an instrument in writing signed by each party heretowritten mutual agreement of the Parties.

Entire Agreement; Amendment. This Agreement supersedes all prior agreements, written or oral, agreements among the parties hereto with respect to its subject matter, and is intended (with the subject matter hereof documents referred to herein) as a complete and contains exclusive statement of the entire terms of the agreement among the parties with respect to thereto and cannot be changed or terminated except by a written instrument executed by the subject matter hereofparty or parties against whom enforcement thereof is sought.
