Common use of Entire Agreement, Amendments and Waiver Clause in Contracts

Entire Agreement, Amendments and Waiver. This Agreement, together with the Transaction Documents and all certificates, documents, instruments and writings that are delivered pursuant hereto and thereto, contain the entire understanding of the Parties with respect to the transactions contemplated hereby and supersede all prior agreements, arrangements and understandings relating to the subject matter hereof. This Agreement may be amended, superseded or terminated only by a written instrument duly executed by the Parties specifically stating that it amends, supersedes or terminates this Agreement. Any of the terms of this Agreement and any condition to a Party’s obligations hereunder may be waived only in writing by such Party specifically stating that it waives such term or condition hereof. No waiver by a Party of any one or more conditions or defaults by the other Party in the performance of any of the provisions of this Agreement shall operate or be construed as a waiver of any future condition or default, whether of a like or different character, nor shall such waiver constitute a continuing waiver unless otherwise expressly provided in such waiver.

This Agreement may be amended, superseded or terminated canceled only by a written instrument duly executed by Regency, Parent (on behalf of Parent, the Parties Parent Members 72 and the Partners) and Buyer, specifically stating that it amends, supersedes or terminates cancels this Agreement. Any of the terms of this Agreement and any condition to a Party’s 's obligations hereunder may be waived only in writing by such that Party specifically stating that it waives such a term or condition hereof. No waiver by a Party of any one or more conditions or defaults by the other Party in the performance of any of the provisions of this Agreement shall operate or be construed as a waiver of any future condition conditions or defaultdefaults, whether of a like or different character, nor shall such the waiver constitute a continuing waiver unless otherwise expressly provided in such waiverprovided.

No waiver by a either Party of any one or more conditions or defaults by the other Party in the performance of any of the provisions of this Agreement shall operate or be construed as a waiver of any future condition conditions or defaultdefaults, whether of a like or different character, nor shall such the waiver constitute a continuing waiver unless otherwise expressly provided in such waiverprovided.

No waiver by a Party of any one or more conditions or defaults by the other Party in the performance of any of the provisions of this Agreement shall operate or be construed as a waiver of any future condition conditions or defaultdefaults, whether of a like or different character, nor shall such the waiver constitute a continuing waiver unless otherwise expressly provided in such waiverprovided.
