Entire Agreement and Enforcement. You acknowledge that neither SGM, any of its representatives, nor anyone else, made any representations or promises upon which you relied on entering this contract, which are not stated in this contract. This contract contains the entire agreement between you and SGM, and replaces any oral or other prior written agreement. If a court declares any part of this contract invalid, it will not invalidate the remaining parts, which continue unaffected. If SGM does not enforce any right in this contract for any reason, SGM does not
Entire Agreement and Enforcement. This Agreement (including any Addenda) constitutes the entire agreement as to its subject matter and supersedes all prior and contemporaneous oral and written agreements. All changes to this Agreement must be made in writing and signed by both parties and, accordingly, any terms on CLIENT's ordering documents shall be of no force or effect. In any action to enforce this Agreement, the prevailing party shall be entitled to recover its costs and expenses, including reasonable attorney's fees.
Entire Agreement and Enforcement. The Parties agree that this Agreement shall be binding upon the assigns, heirs, executors, and administrators of Xx. Xxxxxxx and shall inure to the benefit of the officers, directors, employees, agents, parents, affiliates, predecessors, successors, purchasers, assigns, and representatives of Xxxxxx USA. The Parties agree that this Agreement supersedes all prior agreements between the Parties (other than the General Release Agreement referenced and hereby incorporated herein and the Xxxxxx USA Long Term Incentive Plan), and this Agreement constitutes the entire agreement between the Parties and all previous discussions, promises, representations, and understandings relating to the topics herein discussed are hereby merged into this Agreement. The Parties agree that there are no additional promises or terms among the Parties other than those contained or referred to herein, and that this Agreement shall not be modified, waived or amended except in writing signed by Xx. Xxxxxxx and Xxxxxx USA.

If Temple Fitness does not enforce any right of this agreement for any reason Temple Fitness does not waive the right to enforce it later.

Notwithstanding the above, any other any invention, confidentiality, non-competition, and/or non-solicitation agreements/provisions between Xx. Xxxxx and Aurinia are hereby incorporated in this Agreement and remain enforceable notwithstanding this Agreement.

The only way this agreement may be changed is by a new written agreement signed by you and The Jayhawk Club. If a court declares any piece of this agreement to be null and void the remaining parts will continue unaffected. If we do not enforce any right stated within the agreement for any reason we do not waive our right to enforce it later.
